THAT the license agreement dated April 16, 2009 by the parties is hereby incorporated herein by reference, as if fully set out herein, and remains a binding obligation of the parties. 2. THAT the OWNER is still using that portion of Southwest 19th Street right -of- way as originally intended, which was to erect a fence over a portion of the right -of -way. 3. THAT the OWNER now desires to extend a circular driveway across that portion of Southwest 19th Street to create a single driveway, which will connect their two lots, and which serves to eliminate two current driveways on their lots, and will ease congestion and backup of automobiles for the business when children are dropped off or picked up. 4. THAT paragraph three (3) of the original license is amended, to the effect that the proposed driveway will restrict access somewhat by the public, which is contemplated and permitted by this amended license. 5. THAT the requirement for an insurance certificate as outlined in paragraph two (2) of the original agreement shall continue in this amendment. 6. THAT the OWNER understands and agrees that in the event the City were to need access to Southwest 19th Street for utility work, to open the street to the public, or for any reason advanced by the City, that the City may remove any and all improvements, fencing, paving or other investment made by OWNER to this right -of -way, without recourse or expense by the City. 7 THAT the City Clerk shall cause this license to be recorded in the public records of Okeechobee County, Florida. IN ALL OTHER RESPECTS not otherwise amended herein, the original license agreement of April 16, 2009 shall remain in full force and effect. Should the CITY, for valid reasons, require the removal of the fence, or any improvements removal of the fence, or any irlfprovements thereon less than seven days notice, the OWNER agrees to exercise reasonable efforts to comply with such requests. 2. OWNER(S) agree to contact their insurance company and require a rider be added to their insurance policy with a certificate furnished to the CITY showing the portion of Southwest 19t Street right -of -way, Tying South of Lot 12 , of Block 35, as herein described, to be used by them, insures the CITY against any liability arising out of alleged injuries or other activities which may occur within the right -of -way. In any event, OWNER(S) agree and shall hold the CITY harmless for any and all action, suit, claim, injury or cause of action of any nature arising out of OWNER(S) permissive use, and indemnify CITY for such, including costs and attorney fees. 3. That OWNER(S) shall not, by such improvements made to that described right -of -way, obstruct, close or otherwise restrict access to the right -of -way for travel thereon by the CITY or the general public. 4. That the OWNER(S) agree that this license is non - assignable without the express written consent of the CITY; and if transferred, the covenants herein shall bind themselves, their heirs and assigns, and said covenants shall run with the land. 5. Background: The original agreement was with Gary & Debbie Frasier for Building Blocks Day Care, their agreement wasn't executed with the language that the agreement follow the land & be recorded, when they sold the property, we entered into the current agreement with the new owners. One of the requirements of the agreement is that they maintain insurance and provide a certificate to the city. 2011 is the last time we received this, and we know the property went into foreclosure; we've made several attempts to obtain an insurance certificate. My question to Attorney Cook is, due to not adhering to the requirements of the agreement, it this one now null and void? NOTE #1: The only thing allowed by the agreement is to erect a fence, and prevent travel on that portion of 19th Street. The Frasier's had a guard rail installed. There is a notation that there may be utilities within the right of way as well. We do not have any notes from the OUA on this, which is normal for use agreements. NOTE #2: This agreement is an exception to the norm, we generally do not allow only a portion of the block to be closed /used. However, the owners on the East half of 19th Street (S Parrott Ave) didn't want to officially close that portion, as its always been the entrance to the church and the 2 story commercial building (now owned by Pritchard's), and given that historically there was never any travel on the West half of 19th, even after the homes were built on 2nd Avenue. Hope this information is of help. Please advise if there is anything further my office needs to do to regarding whether the agreement is now void. This agreement constitutes a mere license from the City for the wanted use, and is revocable by the City at any time upon demand. Gary & Debbie Fraizer (owners) agrees if at any time the City requires the use of said Street right of way for the installation of utilities or for any other purpose not limited to: drainage, etc., to remove said fence or any other item at owners expense, within thirty (30) days after receiving written notice. If in fact the City requires earlier removal of said fence or any other item, then the City employees or agents may at the City's expense remove said fence or any other item and will try to preserve the fence or any other item to the best of their ability; and if replacement of the fence or any other item is allowed, it will remain the owner's full responsibility. The City and its employees will be held harmless,and indemnified by owner now and in the future, from any and all claims that may arise in connection to this granted use of street right -of -way by the owners, their guests, invitees or the public. Furthermore, it shall be a requirement of this agreement that the granted right -of -way be properly maintained at all times with no expenses to be incurred by the City. This is just a friendly reminder that one of the covenants of the agreement between you and the City for the use of street requires you to provide the City with proof of liability insurance protecting the City from liability for injuries arising out of the use of the street as stipulated in the agreement.
