Attorney Cook read proposed Resolution No. 09-04 by title only as follows: "A RESOLUTION OF THE CITY COUNCIL

There was a brief discussion on this matter. This is the finalization of the annual police car purchases. All existing cars
have been sold. There are changes in this years purchases. Normally there are 24 Ford Crown Victoria cars
purchased. However, due to budget constraints, this year there will be five Dodge Chargers and 17 Ford Crown
Victoria cars purchased and they are currently being delivered.

B. Discuss annual evaluation for Administrator Whitehall - Mayor. Each year the Mayor and Council conduct an evaluation on the Administrator's job performance. Council Member
O'Connor noted that since he has only been on the Council since January, he did not complete an evaluation as it,
would not be fair due to the short amount of time he has worked with Mr. Whitehall. Mayor Kirk received the
evaluations and calculated an average score of 4.875 out of 5.0. Mr. Whitehall thanked the Council for their confidence
in him. The evaluations were forwarded to the City Clerk. They will be a matter of public record and part of his official
personnel file.

Each year the Mayor and Council conduct an evaluation on the attorney's job performance. Council Member O'Connor
noted that although he and Attorney Cook work together when he was previously on the Council, that was 12 years
ago, and he has only been on the Council since January, he did not complete an evaluation. Mayor Kirk received the
evaluations and calculated an average score of 3.47 out of 5.0. Attorney Cook thanked the Council fortheir confidence
in him. The evaluations were forwarded to the City Clerk. They will be a matter of public record and part of his official
personnel file.
There being no further items on the agenda, Mayor Kirk adjourned the meeting at 6:10 p.m. The next regular
scheduled meeting is February 17, 2009 at 6:00 p.m.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF
OKEECHOBEE, FLORIDA, AUTHORIZING THE LEASE -
FINANCING OF CERTAIN EQUIPMENT THROUGH
EXECUTION OF A MASTER LEASE -PURCHASE
AGREEMENT WITH KEY GOVERNMENT FINANCE, INC.;
PROVIDING FOR THE PAYMENT OF THE LEASE
PAYMENTS; MAKING CERTAIN OTHER COVENANTS AND
AGREEMENTS IN CONNECTION THEREWITH; AND
PROVIDING AN EFFECTIVE DATE.
NOW, THEREFORE, be it resolved before the City Council for the City of Okeechobee,
Florida; presented at a duly advertised' public meeting; and passed by majority vote
of the City Council; and properly executed by the Mayor or designee, as Chief
Presiding Officer for the City that:
SECTION 1.
Authority for this Resolution,. This Resolution is adopted pursuant to the
Constitution and laws of the State of Florida, including particularly Chapter 166, Part
II, Florida Statutes, and other applicable provisions of law (hereinafter collectively
referred to as the "Act").
SECTION 2.
Findinas. It is hereby ascertained, found, determined and declared by the City of
Okeechobee, Florida, (the "Lessee") that:
(a) It is necessary, desirable, and in the best interest of the Lessee and
its inhabitants that the Lessee acquire the equipment described in
Exhibit A hereto (the "Equipment") and pay for such acquisition
through a lease -purchase financing structure pursuant to a Master
Lease -Purchase Agreement (the "Lease -Purchase Agreement")
between the Lessee and Key Government Finance, Inc. (the
"Lessor").
(b) The Lessee is authorized and empowered by the Act to enter into
transactions such as that contemplated by the Lease -Purchase
Agreement and to fully perform its obligations thereunder in order to
acquire the Equipment.
(c) The execution and delivery of the Lease -Purchase Agreement by the
Lessee will comply with all of the provisions of the Act.
(d) The Lessee has requested proposals from financial institutions and
has determined that the terms proposed by the Lessor are in the best
interest of the Lessee consistent with the request for proposals issued
for this purpose.
SECTION 3.
Authorization of Eauipment. The lease -financing of the Equipment is hereby
authorized, pursuant to the provisions of a Lease -Purchase Agreement which shall
contain terms consistent with the proposal of the Lessor attached hereto as Exhibit
B.

SECTION 4.
Aaoroval of Lease -Purchase Agreement. The Lessee hereby authorizes and directs
its Mayor or City Manager to execute and deliver, and the City Clerk of the Lessee
to attest under the seal of the Lessee, a Lease -Purchase Agreement, all of the
provisions of which, when executed and delivered by the Lessee as authorized
herein and by the Lessor, shall be deemed to be a part of this Resolution as fully
and to the same extent as if incorporated verbatim herein. The Lease Purchase
Agreement shall be in such form as approved by the Mayor or City Manager, such
approval to be conclusively presumed by the execution thereof. The rent payments
to be paid under the Lease -Purchase Agreement and the other terms of the Lease -
Purchase Agreement shall be consistent with the proposal of the Lessor attached
hereto as Exhibit B.
SECTION 5.
Designation as Qualified Small Issuer Obliaation. The Lessee (including all
subordinate entities which issue tax-exempt debt on behalf of the Lessee) does not
reasonably anticipate issuing tax-exempt obligations in excess of $10,000,000
during the current calendar year. The Lessee does hereby designate the obligation
to lease the Equipment pursuant to the Lease -Purchase Agreement as a qualified
tax-exempt obligation under Section 265(b)(3) of the Internal Revenue Code of
1986.
SECTION 6.
Pledae of Lease Proceeds. In order to provide for acquisition of the Equipment, the
Lessor shall pay the proceeds of the Lease to Lessee. The Lessee covenants and
agrees to establish a separate fund in a bank or trust company in the State of
Florida, which is eligible under the laws of such State to receive funds of the
Lessee, to be known as the City of [click here and insert city, state], Equipment
Acquisition Fund, which shall be used only for the payment of the cost of acquisition
of the Equipment. Moneys in the Equipment Acquisition Fund, until applied in
payment of the cost of Equipment as provided in the Lease, shall be held in trust by
the Lessee and shall be subject to a lien and charge in favor of the Lessor and shall
not be subject to any lien or pledge in favor of any person other than Lessor.
Lessee does hereby irrevocably pledge the Equipment Acquisition Fund to payment
of its obligations under the Lease in accordance with the terms thereof.
SECTION 7.
Further Action. The proper officers of the Lessee are hereby authorized,
empowered and directed to take all such further action and to execute such
additional documents as they deem advisable to carry out the purposes of this
Resolution.
SECTION 8.
Severabilitv of Invalid Provisions. If any one or more of the covenants, agreements
or provisions contained in this Resolution orthe Lease -Purchase Agreement, orany
other document or agreement hereby authorized shall be held contrary to any
express provision of law, or against public policy, or shall for any reason whatsoever
be held invalid, then such covenants, agreements or provisions shall be null and
void and shall be deemed separable from the remaining covenants, agreements or
provisions and shall in no way affect the validity of any of the other provisions hereof
or of the Lease -Purchase Agreement, or any other document or agreement hereby
authorized.
SECTION 9.
Succession of Officer of Lessee: Performance of Duties. In the event that the office
of any officer of the Lessee mentioned in this Resolution shall be abolished or any
two or more of such offices shall be merged or consolidated, or in the event of a

vacancy in any such office by reason of death, resignation, removal from office or
otherwise, or in the event any such officer shall become incapable of performing the
duties of his/her office by reason of sickness, absence from the Lessee or
otherwise, all powers conferred and all obligations and duties imposed upon such
officer shall be performed by the officer succeeding to the principal functions thereof
or by the officer upon whom such powers, obligations and duties shall be imposed
by law.
SECTION 10.
Benefit of Resolution Limited. Except as herein otherwise expressly provided,
nothing in this Resolution, express or implied, is intended or shall be construed to
confer upon any person, firm or corporation other than the Lessee and the Lessor
(or its assigns) any right, remedy or claim, legal or equitable, under or by reason of
this Resolution or any provision thereof, this Resolution and all its provisions being
intended to be and being for the sole and exclusive benefit of the Lessee and the
Lessor (or its assigns).
SECTION 11.
Successors and Assigns. All the covenants, promises and agreements in this
Resolution contained by or on behalf of the Lessee shall bind and inure to the
benefit of its successors and assigns, whether so expressed or not.
SECTION 12.
Repealina Clause. All resolutions, or parts thereof, or other official actions of the
Lessee in conflict with the provisions herein contained are, to the extent of such
conflict, hereby superseded and repealed.
SECTION 13.
Effective Date. This Resolution shall take effect immediately upon adoption.

New and Unfinished Business;
• Southern Trace Developer's Agreement — passed last meeting, but is
awaiting Atty Cook's review.
• Airport ditch erosion— A Natural Resource & Soil Conservation (NRSC)
grant was secured by the County to correct the `Airport ditch' erosion
problem by the Nursing Home. Redd an email 1/29/09 that the latest plan
is to simply remove the old culvert structure and dean it up ... whew.
• Radios — Subsequent articles in the Okeechobee News has the County
reconsidering alternatives. Previously supplied a list of the anticipated 72
new radios at an est cost of $317,000 of which the City's actual expense
would be $63,000+/-.
• Sian Ordinance / Commercial Corridor / Comp Plan discussion, — as
indicated prior hereto a meeting is scheduled for 2/19/09 for a joint
workshop with the Planning Board... immediately after their short agenda.
• Economic Stimulus Padkaae applications — Have had a cpl of staff
meetings preparing a few project briefs for submittal thru CAS:
Canal Cleanup — Generally in Okeechobee Estates

DOT improvements at SR 70 and US 441
• Railroad Deoot update — Met with the CSX Governmental liaison along
with Representative Mike Homer prior to the Legislative lunch. Was
asked to amend the Letter of Intent to more our liking and re -present same
to the liaison. Have asked Atty Cook to evaluate my observations As
previously reported, have Bill of Sale and Land Lease Agreement from CSX and
AMTRAK Lease Agreement (preliminarily reviewed by Main St) in hand. Main
Street is investigating the Brownfield' cleanup process for the area as an avenue
for funding.
• Leaion Propertv for sale — Attached is the listing for the property beside
City Hall. The price is still prohibitive but I was asked to share it with you.
• DOT and CSX crossinq — apparently DOT is having a meeting on Feb 5M,
to revisit the intersection at 441. A quick call to DOT confirmed that they
have been inundated with complaints and plan on reconstruction.
• Elite Title oarkinq — A candy bouquet business will also be operating at
this location.
• Brandev Nuisance oronertv. - The prospective new owners of the Brantley
property appeared at the 1113 Code meeting. The Board delayed any fines due
to the commitments that closing on the rest of the property was scheduled for
next week hopefully.

letter sent, except that the Developer is perfecting possible businesses to the
parcel.
• Okeechobee Battlefield Seminole War Battle Re-enactment — Jan 31(2pm battle
time) -Feb 1(1 pm battle), 35W 38" Av, Treas Island area.
• Chamber of Commence future activities — are all included on the Agenda for
street dosing. Also the Main Street Art fest (227-311) and the Rvlee's Hone Chili
Cook -off (217) in connection w/ the Saedded Perch fest (2/6-8).
• Welcome sia ns — Main Street continues to investigate Welcome to City signs.
Advised Main Street that they needed to make a presentation to the City Council
on sign detail and locations.
• Main Street annual contribution — Teny Burroughs and I met to discuss their plan
at reducing their contribution from the City.

Attorney:
• NW 12 St. 800 blk uronerty— Pub Wks has cleaned it up and the City is awaiting
Atty Cook's action to consummate a transfer of ownership from the current owner
to the Habitat for Humanity. (The Council took action to accept ownership of the
nuisance property in lieu of essentially foredosing on $20, 000 +/- in liens for that
property and the property at 803 NW le St.)
• Demolition/Clean-up Aareement - Nuisance Droverties — as part of a more
aggressive dean up I'm resigned to the fact that our Public Works will involve
themselves with some demolition of dilapidated properties. The City has 4 or 5
owners who have legally agreed to execute documents allowing the City to enter
property, demolish, and file the appropriate lien. Atty Cook prepared a draft
but is revisiting it.
• Billboard di ute s —On July 15"' rec'd a letter form Gallagher Bassett (PRM)
along with a Plaintiff's (Carter Pritchett advertising and Centennial Builders)
confirming a Motion for Court Ordered Mediation had been filed.
(Note: The original suit pertains to the parcel at 701 SW Park Stand again, on
1/7/08 +/- the City rec'd a listing of assertions relating to a 'Complaint for
Declaratory Judgment' of which was answered on Jan 240'. To reiterate -
Centennial Builders filed in Circuit Court for damages associated with not being
allowed to construct a billboard on SR 70 West. As you might recall, in Feb the
BOA affirmed Independent InspedWs November revocation of the July 2006
building permit. Centennial was seeking damages of $15,000.)
(Note: On 211420071 issued a letter to Centennial Builders essentially denying
acceptance of an application for a 2rd billboard at 1301 N Parrott this after the
City Council passed Res#06-10 suspending applications for billboards. The City
was also served on that action.
Engineering:
• HandidaDved accessibility to City Hall — The City has secured a cpl of quotes for
the lift itself and Eng Bermudez is working on design and contractor specs.
Fire:
• Fire brush truck — as discussed during our budget process, the Dept has
exhaustively researched the punch of a new brush truck as our first 'impact fee
expenditure' Our orig budget was $60k, but unfortunately, that opportunity is not
available (punch the same as County approx a yr ago), but a better proposition is
at a cost of just over $70k (pre -bid est). Again, ►av hope to utilize this piece of

• SW 6"' Av. s of SW Park St Qarkina area — A new project that we feel is needed
is parking improvement in the 1"' block (by the former Marble Slab). It's unsightly
and practically unusable, a/tho' pp/ use it for parking. We would like to pave both
sides of the avenue and are coming up with cost estimates for same, using our
personnel.
• Machine Buildina — After taking quotes a few month ago for the purposes of
determining a budget of about 60-65, 000 we are now putting bid specs together
for a 60' X 100' (12' eave height) building to be located on the north side of the
existing east garage at the 'City barn' area. Pdorher sto the City had a lean-to
which was blown away by Jean/Fran hurricanes then replaced and subsequently
destroyed by Wilma.
• Water SUDDIV Facilities Plan — LaRue's office continues work on same.

Det Taylor is a very hard working dedicated employee. We call her the department
"Bulldog" because when she begins to work a case nothing can stop her. Her specialty is
working abuse cases that involve children. Bettye seems to have that something special
about her that enables her to be able to interview the victims as well as being able to
handle the suspects in a professional manner. Det. Taylor was appointed the duty of
being our Systems Administrator for our new C.A.D. computer program. She spent
countless hours getting the department ready to go online last year. Det. Taylor is an asset
to our agency and I'm not sure what we would do without her.

Subject: budget adjustments
Shortly after Mike O'Connor was elected he approached me about not needing
health insurance from the City and that the City would not need to expend
the premium associated with his coverage. He asked at that time, as an
alternative, if his projected premium could be rolled back into other
Departments. After some discussion we agreed that it may be handled through
a budgetary process wherein it's deducted from the budget at it's normal
line -item location, in the Legislative Department, and the amount ($1591.36
($3182.72/2)) placed in each of your departments' budgets in a line item
that you need to determine.
This is, of course, unorthodox, but you need to advise which line item you
would prefer the amount be placed in, so that I can seek Council approval
thereafter.
