Original SubmittalPROFESSIONAL ENGINEERING SERVICES AGREEMENT THIS AGREEMENT, hereinafter "Agreement," made and entered into the 8th day of March 2022 by and between South Florida Engineering and Consulting LLC hereinafter referred to as "PROFESSIONAL" and the City of Okeechobee, Florida, a municipal corporation, 55 SE 3 d Avenue, Okeechobee, Florida 34974, hereinafter referred to as "CITY", for and in consideration of the following terms, conditions and covenants. I. PURPOSE OF AGREEMENT CITY intends to enter into an agreement with PROFESSIONAL for provision of Professional Engineering Services by the PROFESSIONAL and the payment for those services by CITY as set forth below. II. SCOPE OF SERVICES The PROFESSIONAL shall provide Professional Engineering Services in all phases of any project for which a PROJECT AUTHORIZATION has been issued by the CITY pursuant to this Agreement as hereinafter provided. These services will include serving a's CITY'S professional consulting representative for the Project, providing professional consulting consultation and advice and furnishing customary Civil Engineering Services and customary services incidental thereto as described in the Project Authorization. The detailed scope of services to be performed and schedule of fees for those services shall be detailed in each Project Authorization. PROFESSIONAL shall work with the City Administrator, City Attorney, City Public Works Director, or other City staff in advising the CITY and the City Council regarding Professional Engineering Services. The services will be those customarily attendant to Civil Engineering Services including, but not limited to the following: A. Preparation of roadway location or alignment studies B. Preparation of roadway design C. Preparation of land acquisition documents D. Preparation of a hydrologic & hydraulic studies E. Preparation of storm drainage system design F. Preparation of new or retrofit storm water management design G. Preparation of floodplain studies H. Preparation and procurement of requisite environmental permits I. Performance of traffic counts J. Preparation of traffic studies and analysis K. Preparation of maintenance of traffic design L. Preparation of structural studies and design for bridges, culverts and retaining walls M. Preparation of construction documents N. Preparation of cost estimates O. Preparation of record drawings / as -built plans P. Review of plans, specifications and estimates developed by others, attend Technical Review Committee or other required meetings as requested. O. Financial Analysis R. Construction Inspection Services S. GIS Mapping and Data Collection T. Presentation to the City Council, staff, and the public of reports, plans, and exhibits U. Other customary Professional Civil Engineering & Surveying Services III. Agreement 1. Term of Agreement Upon award of this Agreement, the effective date of this Agreement shall be the date of execution of this Agreement by both CITY and PROFESSIONAL. Term of this Agreement shall be for an initial period of three (3) years with the option of two (2) additional one-year renewal periods, upon the mutual agreement of the parties. At the option of the CITY, and upon the agreement of the PROFESSIONAL, this Agreement may be converted to or replaced at any time with a "Continuing Contract" as that term is used in Section 287.055, Florida Statutes (CCNA). 2. Project Authorization Each "Project Authorization" shall specify the Period of Service agreed to by the CITY and the PROFESSIONAL for services to be rendered under said "Project Authorization". 3. Compensation and Method of Payment 3.1 Fee Schedule CITY will compensate PROFESSIONAL for services under each Project Authorization. The fee due to the PROFESSIONAL shall be set forth in each Project Authorization and shall be in accordance with PROFESSIONAL'S personnel hourly rate schedule formalized in "Exhibit C" to this Agreement. PROFESSIONAL'S personnel hourly rate Schedule may be updated annually prior to each optional renewal period. 3.2 Invoices PROFESSIONAL shall submit monthly invoices to the CITY no later than the last day of the month for work accomplished under this Agreement. Each invoice shall be detailed and include, but not be limited to, hours worked by each person assigned to the Project, date worked, and all ancillary expenses incurred and by whom. 3.3 Payment Payment for services rendered is due within Forty-five (45) days of receipt ;and approval of invoice by CITY. Payment is delinquent thirty (30) days following receipt and approval of invoice by CITY. 4. Reimbursable Expenses PROFESSIONAL shall be reimbursed only for approved out pocket expenses directly chargeable to the Project, at actual cost incurred. Reimbursable expenses will include travel, lodging and meals when traveling at the CITY'S request and on the CITY'S bE:half. These expenses shall conform to rates and allowances set forth in Florida State Statute, Sec 112.061, regarding per diem and traveling expenses. Identifiable communication expenses, reproduction costs, and special accounting expenses not applicable to general overhead shall be reimbursed at actual cost. 5. Additional Services 5.1 Requests for Additional Services The undertaking by the PROFESSIONAL to perform professional services defined within this Agreement extends only to those services specifically described herein. If upon the request of the CITY, the PROFESSIONAL agrees to perform additional services hereunder, the CITY shall pay the PROFESSIONAL for the performance of such additional services an amount (in addition to all other amounts payable under this Agreement) based on an hourly fee in accordance with PROFESSIONAL'S current personnel fee schedule, plus reimbursable expenses so incurred by the PROFESSIONAL; unless a lump sum addendum to this Agreement is executed by the parties to this Agreement which addresses the additional services. 6.2 Changes in Scope/Conditions Additional services shall include revisions to work previously performed thai: are required because of a change in the data or criteria furnished to the PROFESSIONAL, or a change in the scope of concept of the Project initiated by the C, or services that are required by changes in the requirements of public agencies, after work under this Agreement has commenced. 6. Use of Documents 6.1 Ownership of Original Documents All deliverable analysis, reference data, survey data, plans and reports or any other form of written instrument or document that may result from the PROFESSIONAL'S services or have been created during the course of the PROFESSIONAL'S performance under this Agreement shall become the property of and shall be delivered to the CITY after final payment is made to the PROFESSIONAL. 7. Termination 7.1 Termination for Convenience Either party upon a seven (7) day written notice to the other party may terminate this Agreement. In the event of any termination, PROFESSIONAL shall be paid for all services rendered to the date of termination including all reimbursable expenses. 8. City's Obligations 8.1 Data to be Furnished The CITY shall provide PROFESSIONAL with all data, studies, surveys, plats and all other pertinent information concerning the Project in the possession of the CITY Moon request. 8.2 Designated Representative The Designated Representative of the CITY to act with authority on the CITY'S behalf with respect to all aspects of the Project shall be identified in each Project Authorization. 9. Insurance. 9.1 Workers' Compensation The PROFESSIONAL shall procure and maintain, during the life of this Agreement, Worker's Compensation insurance as required by Florida Statutes, ChaptE!r 440 for all employees of the PROFESSIONAL engaged in work on the Project under this Agreement. 9.2 Insurance Policy Limits PROFESSIONAL shall procure and maintain insurance policies with at lead: the following coverage and amounts, during the life of this Agreement: 9.2.1: General Liability Insurance. In a combined single limit of $1,000,000.00 per occurrence, $2,000,000.00 aggregate. 9.2.2: Automobile Liability Insurance. In a combined single limit of $250,000.00 each occurrence. 9.2.3: Professional Liability or Errors and Omissions Insurance. In a combined single limit of $1,000,000.00 aggregate. 9.3 Insurance Cancellation The PROFESSIONAL shall furnish to the CITY Certificates of Insurance allowing thirty (30) days, notice for any change, cancellation, or non -renewal. If the insurance policies expire during the terms of the Agreement, a renewal certificate or binder shall be filed with the CITY fifteen (15) days prior to the renewal date. 9.4 City to be Named Additional Insured The plans and specifications and other Agreement documents to be prepared by PROFESSIONAL pursuant to this Agreement shall require the insurance of liability of the person, individual, firm, or corporation which would, as professional, perform the work described in such plans and specifications. The amounts of insurance shall be determined by the CITY. The CITY shall be named as "additional insured" with regard to the coverage of such policies of insurance. In the case of State funded projects, State agencies such as the Florida Department of Transportation or Department of Environmental Protection, shall be named as "additional insured" with regard to the coverage of such policies of insurance. 9.5 Status of Claim. The PROFESSIONAL shall be responsible for keeping the CITY currently advised as to the status of any claims made for damages against the PROFESSIONAL resulting from services performed under this Agreement. The PROFESSIONAL shall send notice of claims related to work under this Agreement to the City. General Conditions 10.1 Compliance with Laws The Professional, its employees, sub -contractors or assigns, shall comply with all applicable federal, state, and local laws, regulations, and requirements relating to the performance of this Agreement. 10.2 Applicable Laws and Venue The Laws of the State of Florida shall govern all aspects of this Agreement. In the event it is necessary for either party to initiate legal action regarding this Agreement, venue shall be in the Nineteenth Judicial Circuit for claims under state law and in the Southern District of Florida for any claims which are justiciable in Federal Court. 10.3 Indemnification For value received, which is hereby acknowledged, PROFESSIONAL shall indemnify and hold harmless the agency, and its officers and employees, from liabilities, damages, losses, and costs, including, but not limited to, reasonable attorneys' fees, to the extent caused by the negligence, recklessness, or intentionally wrongful conduct of the design professional and other persons employed or utilized by the design professional in the performance of the contract. The PROFESSIONIAL further acknowledges that it is solely responsible for ensuring compliance and compliance of its subcontractors, suppliers, agents, assigns, invitees and employees with the terms of this Agreement. This paragraph shall survive the expiration or termination of this Agreement. 10.4 Waiver of Jury Trial Each party, to the extent permitted by law, knowingly, voluntarily, and intentionally waves its right to a trial by jury in any action or other legal proceeding arising out of relating to this Agreement and the transactions it contemplates. This waiver applies to an action or legal proceeding, whether sounding in agreement, tort or otherwise. 10.5 No Discrimination PROFESSIONAL and its agents will not discriminate against any person on the grounds of race, color, creed, national origin, handicap, age, or sex, in any activity under this Agreement. 10.6 No Lobbying Pursuant to Chapter 216.947, F.S., the PROFESSIONAL is prohibited from the expenditure of any funds under this Agreement to lobby the Legislature, thejudicial branch or another state agency. 10.7 E-Verify PROFESSIONAL has verified that its employees are authorized to work in the United States and certifies that a good faith effort has been made to properly identify employees by timely reviewing and completing appropriate documentation, including but not limited to the Department of Homeland Security, United States Citizenship, and Immigration Services Form 1-9. Answers to questions regarding E-Verify as well as instructions on enrollment may be found at the E-Verify website: www.uscis.gov/e-verify. PROFESSIONAL shall expressly require any sub -contractor's performing work or providing services pursuant to this Agreement to likewise utilize the United States Department of Homeland Security's E-Verify system to verify the employment eligibility of all new employees hired by the sub -contractor during the Agreement term. 10.8 Professionals Duties Regarding Public Records 10.8.1. Compliance with Florida Laws PROFESSIONAL must provide public access to all records concerning this Agreement according to applicable Florida laws including Chapter 119, Florida Statutes. If PROFESSIONAL asserts any exemptions to Florida's Public Records laws, PROFESSIONAL has the burden of establishing and defending the exemption. PROFESSIONAL'S failure to comply with this section is a breach of this Agreement. The records subject to Chapter 119 may include, in addition to prepared documents, such communication as e-mails, text messages, inter -office memorandums, social media, and photographs or images; a person or entity may request Public Records via e-mail, or by oral or written request, and a response to such a request must be prompt; it is the responsibility of the PROFESSIONAL to establish an in-house policy in reference to such records, and to identify and retain such communi-cations in the normal course of business in the event a request is made to produce these records. 10.8.2. No person or entity other than the PROFESSIONAL or the CITY shall have any rights or privileges under this Agreement in any capacity whatsoever, either as third -party beneficiary or otherwise. 10.10 Assignment PROFESSIONAL shall not assign, delegate, sublease or otherwise transfer any portion of its rights and obligations as set forth in this Agreement without prior written consent of the CITY. Any attempted assignment in violation of this provision shall be void. 10.11 Waver No waiver of any term of this Agreement constitutes a waiver of any other provision, whether similar or dissimilar. No waiver of any term constitutes a continuing waiver. No waiver is binding unless signed in writing by the waiving party 10.12 Severability If any term of this Agreement is for any reason invalid or unenforceable, the rest of the Agreement remains fully valid and enforceable. 10.13 Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreement, representations, and undertaking. No supplement, modification, or amendment of this agreement will be binding unless it is in writing and signed by both parties. 10.14 Interpretation Unless the context requires otherwise: The term "including" contemplates "including but not limited to." 10.15 Survival All provisions of this Agreement which by their terms bind either party after the expiration or termination of this Agreement shall survive the expiration or termination of this Agreement. 10.16 Force Majeure Notwithstanding any provisions of this Agreement to the contrary, the Parties shall not be held liable for any failure or delay in the performance of this Agreement that arises from fires, floods, strikes, embargoes, acts of the public enemy, unusually severe weather, outbreak of war, restraint of Government, riots, civil commotion, force majeure, act of God, or for any other cause of the same character which is unavoidable through the exercise of due care and beyond the control of the Parties. Failure to perform shall be excused during the continuance or as a result of such circumstances, but this Agreement shall otherwise remain in effect. This provision shall not apply if the "Statement of Work" of this Agreement specifies that performance by the PROFESSIONAL is specifically required during the occurrence of any of the events herein mentioned. 11. SFEC customizes our project team to meet the needs of our clients. For this important RFP, SFEC has supplemented our in-house staff with local City of Okeechobee engineering expert, MDO Engineering, as well as Erdman Anthony and Florida Technical Consultants. Given that Mr. Montes De Oca previously worked as the Okeechobee City Engineer for six years (and was responsible for obtaining the grant), the SFEC team has unique insights into the City's needs. This relationship will also help to facilitate communication throughout the project between the SFEC and City Project Managers. In addition to selecting technical experts for respective tasks, SFEC also prioritizes teaming with companies and individuals with whom we have previously successfully collaborated. SFEC is committed to delivering quality products on time and within budget. SFEC Project Managers work closely with our clients' project managers to ensure that all tasks and schedules are clearly outlined from the start of the project. SFEC has a strong track record of delivering products on time, frequently prior to deliverable due dates, and within budget. Given our rigorous QA/QC, continuous improvement, and continuing education programs, all products meet or exceed the needs of our clients. SFEC's staff have authored many of the QA/QC protocols utilized by local and state agencies. Our products undergo internal team review and external peer review prior to being delivered to our clients. Additionally, our team includes expert technical writers and technical editors, with years of experience in the fields of civil and environmental engineering, stormwater management, water quality, H&H modeling, and hydrology. These internal processes along with detailed project management and ongoing communication with the City of Okeechobee Project Manager will ensure quality products are delivered for each task both on -time and within the established budget. SFEC begins all projects by discussing project specific goals and objectives with the client project manager (PM). Although the City scope of work clearly outlines expectations, it is important that both client and staff have the same understanding of the approach, methods and budget items. This helps to establish a clear appreciation of expectations (tasks, deliverables and timelines) and facilitates ongoing communication throughout the assigned project. Within an agreed upon timeline (usually one week), the SFEC PM will submit meeting notes and a concise workplan including deliverable schedule. The status of all project deliverables is routinely tracked using Project Management software (ex. MS Project, SAP, and Clickup). SFEC uses a variety of PM tracking tools. We select the software package that best meets the needs of our clients. A key to the success of our approach to schedule control is our project managers' knowledge and experience in the use of scheduling tools, which allow the early identification of issues with the potential to impact schedule performance. We can then quickly develop and implement corrective actions to keep the project on track. SFEC has the sufficient staffing and technical resources to make sure all projects are delivered in a timely fashion. We have the capacity to work on multiple projects at once, and we have sufficient staffing to address unforeseen issues (staff illness, family emergencies, etc.). In addition to scheduling tools, SFEC has developed a variety of techniques to make sure project deliverables are provided on time and within budget. Our team experience has resulted in a cost savings to many of our clients. Below we provide examples of SFECs cost management for Environmental Solutions through Science and Technology 13 SFEC City of Okeechobee Request for Qualifications: RFQ No. ADM 01-32-07-21 Professional Engineering Services a variety of projects including field monitoring, hydrologic modeling, project alternative development and construction. For the Dinner Island WMA and J.W. Corbett Hydrologic and Ecological assessments, SFEC recognized that detailed elevation data would be critical to develop the hydrologic model and related restoration scenarios. SFEC worked with our subcontractors to install survey monuments in areas lacking local benchmarks. This allowed the team to use Real -Time Kinematic GPS to both validate recently acquired LiDAR, correct for bias in the LiDAR and evaluate elevation of varying habitat biological indicators (i.e., Adventitious rooting of Hypericum fasciculatum, moss lichen collars on Cypress, Serenoa repens rooting elevations, etc). The use of RTK GPS reduced survey costs by limiting survey to canal cross sections, structures, and essential benchmarks and allowed the team to collect additional biologically relevant data that would have otherwise been outside the budget of the project. Furthermore, for the Corbett WMA monitoring plan, SFEC recommended the use of the nonparametric statistical approach recursive partitioning, which allows monitoring of a subset of sample locations annually. This approach is useful in large landscapes and when response times to management measures or perturbations are expected to take longer periods of time. For the East Lake Tohopekaliga project, SFEC was able to significantly reduce costs of the proposed project by identifying project alternatives and management measures that met or exceeded the original benefit of the project while reducing overall costs. SFEC identified that an originally planned weir was unnecessary, costly and likely reduce rather than enhance environmental benefits associated with the planned drawdown project. By using a water control structure immediately upstream of the originally proposed weir location, the project not only expanded the footprint of environmental benefits, but also eliminated potential impacts associated with the original weir plan. During our habitat surveys for the same project, we identified areas that did not require muck removal and recommended preservation of several tree islands. This both enhanced ecosystem function and reduced the quantity of dredged material that would need to be removed from the Lake saving cost associated with dredging and transport. For the Bonita Spring Bioreactor Project, SFEC identified native trees and "Heritage" Trees (Large Pines of a threshold DBH — "diameter at breast height" per the contract specifications) and designed the bioreactor footprint such that these trees could be preserved onsite. This ultimately reduced the cost of implementing the landscape design while preserving native species. SFEC has avoided the need for chanize orders for most projects. The only change orders we have had are either when the project planned for additional data collection or when the client liked our work so much that they requested adding scope to our project. The SFEC team has successfully supported a variety of engineering services projects including watershed level hydrologic and environmental assessments, water quality feature design, and coastal structure operations and level of service projects. In addition to our engineering and modeling work, SFEC staff routinely conduct habitat, water quality and hydrologic monitoring following all applicable state and federal (e.g., FDEP, USEPA, and USGS) standard methods. We are skilled at identifying data gaps and developing and implementing relevant monitoring programs. SFEC has effectively conducted a variety of hydrologic assessments aimed at habitat restoration (Dinner Island and Corbett Projects). Assessments included a combination of instrumentation and field data collection, H&H modeling, and design of project alternative management measures (i.e., canal backfills, low water crossings, weirs, berm removal or stabilization). SFEC installed hydrologic monitoring equipment including telemetry capacity for remote stations at both Dinner Island & Corbett Wildlife Management Areas (WMAs) to help address data gaps. We also collected detailed elevation, soils and habitat data to ground truth and validate model inputs and to determine appropriate habitat based hydrologic targets. Our team of H & H modelers have designed and developed hydrologic models, worked on existing models (SFWMM, RSM, MODFLOW, HEC- RAS, S2DMM and others) and extensively reviewed specific model applications. In addition to our hydrologic and environmental assessment project experience, SFEC helped the City of Bonita Springs, Florida address water quality loading goals identified in the State's Basin Management Action Plan (BMAP) by designing a denitrification bioreactor to improve the quality of stormwater returned to the Imperial River. After the initial site survey, SFEC designed the subsurface bioreactor, as well as the co -located above ground parking facility. The larger SFEC Team for the project also provided landscape architecture services. SFEC modeled expected treatment efficiencies associated with the design. SFEC provided client support through project construction. The City received the Florida Leaa,ue of Cities Environmental Stewardship award for the aforementioned project. SFEC staff also have extensive experience with environmental permitting, compliance reporting, and related technical writing. We recognize that environmental permitting, and technical writing and reporting are an important and an integral part of many of the engineering tasks noted in the City's scope of work. Our team also includes a variety of well published environmental scientists, biologists and water quality experts that can provide mission critical support to the City of Okeechobee. Environmental Solutions through Science and Technology 16 we SFEC SFEC recently completed the Environmental Impact Statement (EIS) for the East Lake Tohopekaliga (ELT) Drawdown and Habitat Enhancement Project. The EIS was developed under a three -party agreement between the Florida Fish and Wildlife Conservation Commission (FWC) and the US Army Corps of Engineers. Given project data gaps, SFEC conducted benthic surveys and provided estimates of project alternative dredge volumes. SFEC provided design criteria for the planned fill islands. In addition to providing alternative project designs that minimized habitat impacts, SFEC also developed the Biological Assessment to support the US Fish and Wildlife Service's Biological Opinion. SFEC's unique combination of engineering and science allowed the SFEC team to significantly decrease the overall project cost, while also increasing the overall acreage of habitat improvement. SFEC recognized that a planned weir was unnecessary for the project. By using a nearby large concrete culvert to limit lake inflows rather than the planned weir, a larger area would receive benefits, while also eliminating impacts associated with the planned weir. *Additional SFEC projects conducted in and around the City of Okeechobee are described in Tab F, Familiarity with Local Conditions. In addition to past projects, SFEC currently works on a variety of coastal engineering, modeling, resilience and sustainability projects. City of Okeechobee Request for Qualifications: RFQ No. ADM 01-32-07-21 Professional Engineering Services SFEC is working with Arcadis to provide Level of Service (LOS) analysis for the L-31E levee in Miami -Dade County, FL. This project evaluates existing and future condition coastal flood vulnerability using the ADCIRC model to evaluate the effects of variable storm surge. The SFEC team is also providing LOS analysis for the SFWMD for the South Miami Dade watershed region. SFEC is providing MIKE SHE/MIKE 11 analysis to evaluate flooding and structure operation concerns in the watershed under existing and future scenarios. 1 �' `- we - •� In addition to working with the SFWMD, SFEC is currently providing design and permitting support services to FDEP for a hydrologic and habitat enhancement project in the Savannas natural area in Martin County. Coincidentally, SFEC was also recently selected by Martin County for both the general environmental engineering services and numerical modeling services contracts. Subconsultant experience: Erdman Anthony Erdman Anthony was the prime consultant and lead designer for the design and preparation of construction drawings and specifications for the $5 million G-715 spillway. The design was completed with a preliminary submittal and a final submittal to help the District meet a consent order deadline for producing final plans. Work included Environmental Solutions through Science and Technology 17 R SFEC� a detailed design report to document the project decision making process, two presentations to the management team, and responding to peer comments from the District's technical review team. This project had four main elements: Remove the existing G-707 gated culverts; Replace them with the new G-716 gated spillway; Removed a portion of the existing levee due west of the new G-716 gated spillway structure to allow flow to enter the storage basin; and armor the north side of the canal at the FPL easement near G-311. SFEC was subconsultant to Erdman Anthony for this project. Currently, Erdman Anthony is working on the S- 191 Pump Station located at the northeastern edge of Lake Okeechobee. The pump station will include four 150 cfs submersible electrical pumps, trash rakes, and emergency generators. SFWMD selected Erdman Anthony to serve as construction managers for the $31.5M pump station. Erdman's City of Okeechobee Request for Qualifications: RFQ No. ADM 01-32-07-21 Professional Engineering Services role includes full-time inspection and construction management services to observe and document the construction efforts and ensure that the contractor complies with the Contract Documents. MDO-Engineering FTC has converted the CAD ATLAS to GIS for a variety of municipalities including Boynton Beach, Village of Tequesta, Village of Wellington, Town of Davie, and Town of Palm Beach, among others. Our team is very knowledgeable about the specific issues and needs of the City of Okeechobee, particularly those areas highlighted in the Professional Engineering Services RFP No. ADM 01-32-07-21. Our team includes all necessary staff and disciplines to support the 21 specific service areas outlined in the RFP, as well as other related engineering services. The SFEC Team have worked in and around the City on a variety of projects including H&H modeling projects including components of Kissimmee River Restoration, Taylor Creek and the larger upstream basin; wetland and habitat assessments in support of CERP Aquifer Storage and Recovery Projects; Stormwater analysis and retrofits, as well as smaller scale projects such as docks, roadways, and park planning. First, and most importantly, SFEC reviewed the City's Capital Improvement Plan to ensure we have all technical resources and staff availability to provide the City expert engineering services consistent with the projects outlined in Ordinance No. 1221, the update to the Five Year Schedule for Capital Improvements. Once we confirm the SFEC is an appropriate fit for our potential clients, SFEC supplements our in-house resources to further ensure we meet and exceed the needs of our clients. For this Professional Engineering Services RFP, the SFEC team also includes Erdman Anthony, Florida Technical Consultants, and MDO Engineering. After reviewing the CIP, SFEC identified Veera Karri, P.E., CFM, Environmental Engineer and Modeler as key support staff for the City. Mr. Karri is Professional Engineer with extensive experience in H&H modeling and stormwater management. Prior to joining SFEC, Mr. Karri worked as a hydrologic modeler for the SFWMD for five years and Stormwater Engineer for the City of Port Orange, FL for seven years. While at SFWMD, Mr. Karri developed the model to test and validate proposed sizing of STAs for the Brady Ranch Feasibility Study. He implemented the DMSTA2 model to help evaluate water quality (loading from 5-191 sub -basin) associated with Best Management Practices. While working with Port Orange, Mr. Karri managed the City's NPDES program, produced NPDES Annual Reports for the Phase II Municipal Separate Storm Sewer System (MS4) Permit, reviewed Stormwater Management Permits for all new development projects and assessed the impact on the stormwater conveyance system. Since much of the existing roadway network was constructed very flat, design included a full roadway -profile grade -line design. Environmental Solutions through Science and Technology 52 ATTACHMENT A PROFESSIONAL ENGINEERING SERVICES AGREEMENT THIS AGREEMENT, hereinafter "Agreement," made and entered into the day of 2021 by and between South Florida Engineering and Consulting LLC hereinafter referred to as "PROFESSIONAL" and the City of Okeechobee, Florida, a municipal corporation, 55 SE 311 Avenue, Okeechobee, Florida 34974, hereinafter referred to as "CITY", for and in consideration of the following terms, conditions and covenants. I. PURPOSE OF AGREEMENT CITY intends to enter into an agreement with PROFESSIONAL for provision of Professional Engineering Services by the PROFESSIONAL and the payment for those services by CITY as set forth below. II. SCOPE OF SERVICES The PROFESSIONAL shall provide Professional Engineering Services in all phases of any project for which a PROJECT AUTHORIZATION has been issued by the CITY pursuant to this Agreement as hereinafter provided. These services will include serving as CITY'S professional consulting representative for the Project, providing professional consulting consultation and advice and furnishing customary Civil Engineering Services and customary services incidental thereto as described in the Project Authorization. The detailed scope of services to be performed and schedule of fees for those services shall be detailed in each Project Authorization. PROFESSIONAL shall work with the City Administrator, City Attorney, City Public Works Director, or other City staff in advising the CITY and the City Council regarding Professional Engineering Services. The services will be those customarily attendant to Civil Engineering Services including, but not limited to the following: A. Preparation of roadway location or alignment studies B. Preparation of roadway design C. Preparation of land acquisition documents D. Preparation of a hydrologic & hydraulic studies E. Preparation of storm drainage system design F. Term of Agreement Upon award of this Agreement, the effective date of this Agreement shall be the date of execution of this Agreement by both CITY and PROFESSIONAL. Term of this Agreement shall be for an initial period of three (3) years with the option of two (2) additional one-year renewal periods, upon the mutual agreement of the parties. At the option of the CITY, and upon the agreement of the PROFESSIONAL, this Agreement may be converted to or replaced at any time with a "Continuing Contract" as that term is used in Section 287.055, Florida Statutes (CCNA). 2. Project Authorization Each "Project Authorization" shall specify the Period of Service agreed to by the CITY and the PROFESSIONAL for services to be rendered under said "Project Authorization". 3. Compensation and Method of Payment 3.1 Fee Schedule CITY will compensate PROFESSIONAL for services under each Project Authorization. The fee due to the PROFESSIONAL shall be set forth in each Project Authorization and shall be in accordance with PROFESSIONAL'S personnel hourly rate schedule formalized in "Exhibit C" to this Agreement. PROFESSIONAL'S personnel hourly rate schedule may be updated annually prior to each optional renewal period. 3.2 Invoices PROFESSIONAL shall submit monthly invoices to the CITY no later than the last day of the month for work accomplished under this Agreement. Each invoice shall be detailed and include, but not be limited to, hours worked by each person assigned to the Project, date worked, and all ancillary expenses incurred and by whom. 3.3 Payment Payment for services rendered is due within Forty-five (45) days of receipt and approval of invoice by CITY. Payment is delinquent thirty (30) days following receipt and approval of invoice by CITY. 4. Reimbursable Expenses PROFESSIONAL shall be reimbursed only for approved out pocket expenses directly chargeable to the Project, at actual cost incurred. Reimbursable expenses will include travel, lodging and meals when traveling at the CITY'S request and on the CITY'S behalf. These expenses shall conform to rates and allowances set forth in Florida State Statute, Sec 112.061, regarding per diem and traveling expenses. Identifiable communication expenses, reproduction costs, and special accounting expenses not applicable to general overhead shall be reimbursed at actual cost. 5. Additional Services 5.1 Requests for Additional Services The undertaking by the PROFESSIONAL to perform professional services defined within this Agreement extends only to those services specifically described herein. ADM 01-32-07-21 City Administration 12 54 If upon the request of the CITY, the PROFESSIONAL agrees to perform additional services hereunder, the CITY shall pay the PROFESSIONAL for the performance of such additional services an amount (in addition to all other amounts payable under this Agreement) based on an hourly fee in accordance with PROFESSIONAL'S current personnel fee schedule, plus reimbursable expenses so incurred by the PROFESSIONAL; unless a lump sum addendum to this Agreement is executed by the parties to this Agreement which addresses the additional services. 5.2 Changes in Scope/Conditions Additional services shall include revisions to work previously performed that are required because of a change in the data or criteria furnished to the PROFESSIONAL, or a change in the scope of concept of the Project initiated by the C, or services that are required by changes in the requirements of public agencies, after work under this Agreement has commenced. 6. Use of Documents 6.1 Ownership of Original Documents All deliverable analysis, reference data, survey data, plans and reports or any other form of written instrument or document that may result from the PROFESSIONAL'S services or have been created during the course of the PROFESSIONAL'S performance under this Agreement shall become the property of and shall be delivered to the CITY after final payment is made to the PROFESSIONAL. 7. Termination 7.1 Termination for Convenience Either party upon a seven (7) day written notice to the other party may terminate this Agreement. In the event of any termination, PROFESSIONAL shall be paid for all services rendered to the date of termination including all reimbursable expenses. B. City's Obligations 8.1 Data to be Furnished The CITY shall provide PROFESSIONAL with all data, studies, surveys, plats and all other pertinent information concerning the Project in the possession of the CITY upon request. 8.2 Designated Representative The Designated Representative of the CITY to act with authority on the CITY'S behalf with respect to all aspects of the Project shall be identified in each Project Authorization. 9. Insurance. 9.1 Workers' Compensation The PROFESSIONAL shall procure and maintain, during the life of this Agreement, Worker's Compensation insurance as required by Florida Statutes, Chapter 440 for all employees of the PROFESSIONAL engaged in work on the Project under this Agreement. 9.2 Insurance Policy Limits PROFESSIONAL shall procure and maintain insurance policies with at least the following coverage and amounts, during the life of this Agreement: 9.2.1: General Liability Insurance. In a combined single limit of $1,000,000.00 per occurrence, $2,000,000.00 aggregate. City of Okeechobee RFQ NO. ADM 01-32-07-21 City Administration 13 55 9.2.2: Automobile Liability Insurance. In a combined single limit of $250,000.00 each occurrence. 9.2.3: Professional Liability or Errors and Omissions Insurance. In a combined single limit of $1,000,000.00 aggregate. 9.3 Insurance Cancellation The PROFESSIONAL shall furnish to the CITY Certificates of Insurance allowing thirty (30) days, notice for any change, cancellation, or non -renewal. If the insurance policies expire during the terms of the Agreement, a renewal certificate or binder shall be filed with the CITY fifteen (15) days prior to the renewal date. 9.4 City to be Named Additional Insured The plans and specifications and other Agreement documents to be prepared by PROFESSIONAL pursuant to this Agreement shall require the insurance of liability of the person, individual, firm, or corporation which would, as professional, perform the work described in such plans and specifications. The amounts of insurance shall be determined by the CITY. The CITY shall be named as "additional insured" with regard to the coverage of such policies of insurance. In the case of State funded projects, State agencies such as the Florida Department of Transportation or Department of Environmental Protection, shall be named as "additional insured" with regard to the coverage of such policies of insurance. 9.5 Status of Claim. The PROFESSIONAL shall be responsible for keeping the CITY currently advised as to the status of any claims made for damages against the PROFESSIONAL resulting from services performed under this Agreement. The PROFESSIONAL shall send notice of claims related to work under this Agreement to the City. General Conditions 10.1 Compliance with Laws The Professional, its employees, sub -contractors or assigns, shall comply with all applicable federal, state, and local laws, regulations, and requirements relating to the performance of this Agreement. 10.2 Applicable Laws and Venue The Laws of the State of Florida shall govern all aspects of this Agreement. In the event it is necessary for either party to initiate legal action regarding this Agreement, venue shall be in the Nineteenth Judicial Circuit for claims under state law and in the Southern District of Florida for any claims which are justiciable in Federal Court. 10.3 Indemnification PROFESSIONAL shall defend, indemnify and hold harmless the CITY and all of the CITY's officers, agents, and employees from and against all claims, liability, loss and expenses, including reasonable costs, collection expenses, attorneys' fees, and court costs which may arise because of the negligence (whether active or passive) misconduct, or other fault, in whole or in part (whether joint, concurrent, or contributing) of PROFESSIONAL, its officers, agents or employees in performance or non-performance of its obligations under the Agreement. PROFESSIONAL recognizes the broad nature of this indemnification and hold harmless clause, as well as the provision of legal defense to the CITY when necessary, and voluntarily City of Okeechobee RFQ NO. ADM 01-32-07-21 City Administration 14 56 makes this covenant and expressly acknowledges to receipt of such good and valuable consideration provided by the CITY in support of these indemnification, legal defense and hold harmless contractual obligations in accordance with the laws of the State of Florida. This clause shall survive the termination of this Agreement. Compliance with any insurance requirements required elsewhere within this Agreement shall not relieve PROFESSIONAL of its liability and obligation to defend, hold harmless and indemnify the CITY as set forth in this article of the Agreement. Nothing herein, shall be construed to extend the CITY'S liability beyond that provided in Section 768.28, Florida Statutes. 10.4 Waiver of Jury Trial Each party, to the extent permitted by law, knowingly, voluntarily, and intentionally waves its right to a trial by jury in any action or other legal proceeding arising out of relating to this Agreement and the transactions it contemplates. This waiver applies to an action or legal proceeding, whether sounding in agreement, tort or otherwise. 10.5 No Discrimination PROFESSIONAL and its agents will not discriminate against any person on the grounds of race, color, creed, national origin, handicap, age, or sex, in any activity under this Agreement. 10.6 No Lobbying Pursuant to Chapter 216.947, F.S., the PROFESSIONAL is prohibited from the expenditure of any funds under this Agreement to lobby the Legislature, the judicial branch or another state agency. 10.7 E-Verify PROFESSIONAL has verified that its employees are authorized to work in the United States and certifies that a good faith effort has been made to properly identify employees by timely reviewing and completing appropriate documentation, including but not limited to the Department of Homeland Security, United States Citizenship, and Immigration Services Form 1-9. Answers to questions regarding E- Verify as well as instructions on enrollment may be found at the E-Verify website: www.uscis.gov/e-verify. PROFESSIONAL shall expressly require any sub- contractor's performing work or providing services pursuant to this Agreement to likewise utilize the United States Department of Homeland Security's E-Verify system to verify the employment eligibility of all new employees hired by the sub- contractor during the Agreement term. 10.8 Professionals Duties Regarding Public Records 10.8.1. Compliance with Florida Laws PROFESSIONAL must provide public access to all records concerning this Agreement according to applicable Florida laws including Chapter 119, Florida Statutes. If PROFESSIONAL asserts any exemptions to Florida's Public Records laws, PROFESSIONAL has the burden of establishing and defending the exemption. PROFESSIONAL'S failure to comply with this section is a breach of this Agreement. The records subject to Chapter 119 may include, in addition to prepared documents, such communication as e-mails, text messages, inter -office memorandums, social media, and photographs or images; a person or entity may request Public Records via e-mail, or by oral or written request, and a response to such a request must be prompt; it is the responsibility of the PROFESSIONAL to establish an in-house policy in reference to such records, and to identify and retain such communications in the normal course of business in the event a request is made to produce these records. 10.8.2. No person or entity other than the PROFESSIONAL or the CITY shall have any rights or privileges under this Agreement in any capacity whatsoever, either as third - party beneficiary or otherwise. 10.10 Assignment PROFESSIONAL shall not assign, delegate, sublease or otherwise transfer any portion of its rights and obligations as set forth in this Agreement without prior written consent of the CITY. Any attempted assignment in violation of this provision shall be void. 10.11 Waver No waiver of any term of this Agreement constitutes a waiver of any other provision, whether similar or dissimilar. No waiver of any term constitutes a continuing waiver. No waiver is binding unless signed in writing by the waiving party 10.12 Severability If any term of this Agreement is for any reason invalid or unenforceable, the rest of the Agreement remains fully valid and enforceable. 10.13 Entire Agreement This Agreement constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreement, representations, and undertaking. No supplement, modification, or amendment of this agreement will be binding unless it is in writing and signed by both parties. 10.14 Interpretation Unless the context requires otherwise: The term "including" contemplates "including but not limited to." 10.15 Survival All provisions of this Agreement which by their terms bind either party after the expiration or termination of this Agreement shall survive the expiration or termination of this Agreement. 10.16 Force Majeure Notwithstanding any provisions of this Agreement to the contrary, the Parties shall not be held liable for any failure or delay in the performance of this Agreement that arises from fires, floods, strikes, embargoes, acts of the public enemy, unusually severe weather, outbreak of war, restraint of Government, riots, civil commotion, force majeure, act of God, or for any other cause of the same character which is unavoidable through the exercise of due care and beyond the control of the Parties. Failure to perform shall be excused during the continuance or as a result of such circumstances, but this Agreement shall otherwise remain in effect. This provision shall not apply if the "Statement of Work" of this Agreement specifies that performance by the PROFESSIONAL is specifically required during the occurrence of any of the events herein mentioned. The purpose of this Project Authorization is to specify the required services of the PROFESSIONAL to design TBD , prepare Construction documents, provide Bidding Phase services, and to provide Construction Phase services for the Project Name: TBD II. PROFESSIONAL'S SERVICES The PROFESSIONAL shall design and prepare Construction documents, Phase services, and Construction Phase services for the Project Name TBD III. GENERAL SCOPE OF WORK provide Bidding The PROFESSIONAL's services shall include, but not be limited to, the following items: A. TASK A: DESIGN AND PERMITTING 1. Data Collection 2. Analysis 3. Drawings shall be furnished to the CITY in reproducible form and to a satisfactory scale. They shall be accurate, legible, complete and suitable for bidding purposes. The PROFESSIONAL shall furnish, when requested, all necessary prints and other information during the design process, for review by the CITY, utility suppliers and other parties having jurisdiction and to fulfill requests by other government agencies and the public. TASK D: CONSTRUCTION PHASE SERVICES The PROFESSIONAL's responsibility to provide Construction Phase Services under this agreement commences with the award of each Agreement for Construction and terminates at the earlier of the issuance by the CITY of the final Certificate for Payment or 30 days after the date of Substantial Completion of the Work, but may be extended. 2. The PROFESSIONAL shall attend and administer the preconstruction conference. 3. Visits to Site and Observation of Construction: In connection with observations of the work of contractor(s) while it is in progress, PROFESSIONAL shall make visits to the site at intervals appropriate to the various stages of construction as PROFESSIONAL deems necessary in order to observe as an experienced and qualified design professional the progress of the various aspects of contractor(s)' work. 4. Defective Work: During such visits and on the basis of such observations, PROFESSIONAL may disapprove or reject contractor(s)' work while it is in progress if PROFESSIONAL believes that such work will not produce a completed PROJECT that conforms to the Agreement documents or that it will prejudice the integrity of the design concept of the PROJECT as reflected in the Agreement documents. 5. Interpretations and Clarifications: PROFESSIONAL shall issue necessary interpretations and clarifications of the Agreement documents and in connection therewith prepare work directive changes and change orders as required. 6. Shop Drawings: PROFESSIONAL shall review and approve (or take other appropriate action in respect of) Shop Drawings, samples and other data which contractor(s) are required to submit, but only for conformance with the design concept of the PROJECT. 7. Substitutes: PROFESSIONAL shall evaluate and determine the acceptability of City of Okeechobee RFQ NO. ADM 01-32-07-21 City Administration 22 61 substitute materials and equipment proposed by contractor(s). 8. Inspections and Tests: PROFESSIONAL shall have authority, as CITY"S representative, to require special inspection or testing of the work, and shall receive and review all certificates of inspections, testing and approvals required by laws, rules, regulations, ordinances, codes orders or the Agreement documents (but only to determine generally that their content complies with the requirements of, and the results certified indicate compliance with, the Agreement documents). 9. Disputes between CITY and contractor: PROFESSIONAL shall act as initial interpreter of the requirements of the Agreement documents and judge of the acceptability of the work there under and make decisions on all claims of CITY and contractor(s) relating to the acceptability of the work or the interpretation of the requirements of the Agreement documents pertaining to the execution and progress of the work. 10. Applications for Payment: Based on PROFESSIONAL's on -site observations as an experienced and qualified design professional, and on review of applications for payments and the accompanying data and schedules: a. PROFESSIONAL shall verify the amounts owing to contractor(s) and recommend in writing payments to contractor(s) in such amounts. Such recommendations of payment will constitute a representation to CITY, based on such observations and review, that the work has progressed to the point indicated, and that, to the best of PROFESSIONAL's knowledge, information and belief, the quality of such work is in accordance with the Agreement documents (subject to an evaluation of such work as a functioning whole prior to or upon Substantial Completion, to the results of any subsequent tests called for in the Agreement documents and to any other qualifications stated in the recommendation). In the case of unit price work, PROFESSIONAL's verifications of payment will include determinations of quantities and classifications of such work (subject to any subsequent adjustments allowed by the Agreement documents. 11. Contractor(s) Completion Documents: PROFESSIONAL shall receive and review maintenance and operating instructions, schedules, guarantees, bonds and certificates of inspection, tests and approvals which are to be assembled by contractor(s) in accordance with the Agreement documents and shall transmit them to the CITY with written comments. 12. Inspections: PROFESSIONAL shall conduct an inspection to determine if the work is substantially complete and a final inspection to determine if the completed work is acceptable to the CITY and other governing agencies so that PROFESSIONAL may recommend, in writing, final payment to contractor(s) that the work is acceptable (subject to any conditions therein expressed). 13. Closeout: PROFESSIONAL shall provide assistance in the closing of any financial or related transaction for the PROJECT (project closeout book, summary of testing, rectifying change orders, final pay estimate, summary of Resident Project Representative (RPR) time, PROFESSIONAL and owner certification letter). Digital Copy of Technical Specifications — 1 copy VIII. PLAN AND SPECIFICATIONS REPRODUCTION The PROFESSIONAL will provide two (2) sets of the plans and specifications for bidding purposes. One set is to be a signed and sealed record set. The cost of these sets is included in the design costs paid the PROFESSIONAL as compensation for services required under this Project Authorization. If additional sets of Construction Documents are required by the CITY, the PROFESSIONAL shall furnish such sets at cost. Payment for such additional sets shall be promptly made by the CITY, upon properly supported invoices, submitted by PROFESSIONAL. IX. PLANS AND DOCUMENT OWNERSHIP City of Okeechobee RFQ NO. Computer systems (CADD) are to be used in the preparation of the construction plans; a copy of all electronic data and drawing files are to be submitted on CD media. The supplied disks are to include all point and working files. X. SCHEDULES AND TIME CONSTRAINTS Within ten (10) days after receiving the Notice to Proceed, the PROFESSIONAL shall provide a schedule and an anticipated payment schedule. The total time allowed for the PROFESSIONAL's services required under this Project Authorization shall be XXXX (XX) months from the date of the Notice to Proceed.
