INTERLOCAL AGREEMENT

THIS INTERLOCAL AGREEMENT made and entered into this 3+ 1 f day of March, 2003,
by and between the CITY OF OKEECHOBEE, FLORIDA, a Florida municipality organized under
the laws of the State of Florida, hereinafter referred to as "City"; and OKEECHOBEE COUNTY,
a political subdivision of the State of Florida, by and through its Board of COLTNTY Coimnissioners,
hereinafter referred to as "COLTNTY" pursuant to the Florida Interlocal Cooperation Act of 1969
(Section 163.01, Florida Statutes).
WITNESSETH
WHEREAS the COiJNTY is the fee simple owner of a certain tract of land located within
The City of Olceechobee consisting of approximately 1.55 acres; the said property her•einafter being
referred to as "Property" and being more particularly described in Exhibit "A" attached hereto and
made a part hereo£ COLTNTY is the holder of all legal and equitable ownership rights in the
PROP�RTY; and
WHEREAS the COUNTY represents that it is the fee simple owner of the Property and that
the rights granted herein and the obligations created hereby shall in no way be affected by the
property right of any other entity at the time of the execution of this Agreement or at any time
between the execution of this Agreement and t11e recording of this Agreement in the Public Records
of Olceechobee County, Florida; and
WHEREAS the COUNTY desires to develop the Property as a public facility consisting of
a courthouse expansion project including a new courthouse and two future office buildings
(hereinafter the "Project"). The parties recognize said use was approved pursuant to CITY's Sinall
Scal.e Area Map Amendment, dated Februaiy 4, 2003, Ordinance No. 813, and Goning Amendment
dated Februaiy 4, 2003, Ordinance No. 814; and
WHEREAS construction of the Proj ect within the CITY's municipal limits is a benetit to ihe
residents of the CITY and will encourage continued urban revitalization in the area; and
WHEREAS the City has the ability under its ordinances to give credit for certain surplus
onstreet parlcing and has agreed to defer constrt�ction of a portion of the off street parking spaces that
would normally be required for the COUNTY's facility; and
WHEREAS a significant portion of all offstreet parlcing constructed by the COLTNTY will
be considered public parlcing that will benefit CITY business and residents of the area; and
WHEREAS it is the purpose of this Agreement to document a method of calculating any
increased parking requirements associated with the Phase I of the Project over the ten years
following the occupancy of the new courthouse and provide additiona� spaces based upon the results
of those calculations; and

WHEREAS the COLTNTY agrees to initially provide offstreet parking, landscaping,
pedestrian, and transportation improvements as set forth in the site plan submitted to the CITY and
fiirther agrees to provide additional parking spaces in the manner hereinafter provided; and
WHEREAS this Agreement is authorized by Section 163.01, et seq., Florida Statutes (1989),
and the CITY OF OKEECHOBEE Unified Land Development Code Ordinance No. 716, as
amended, and the provisions of those laws as they exist as of the date of this Agreement are
incorporated herein by reference and shall govern the relationship of the parties under the terms of
this Agreement; and
WHEREAS the Project as set forth herein is consistent with the CITY OF OKEECHOBEE
Comprehensive Land Use Plan and CITY OF OKEECHOBEE Unified Land Developinent Code.
NOW THEREFORE, in consideration of the mutual promises and covenants herein made
and agreed to be kept, the parties hereto agree as follows:
1. The foregoing recitals are true and correct and are incorporated herein by reference.
2. The COLTNTY represents that nothing herein is barred or prohibited by any other
contractual agreement to which it is a party, by any existing statute or agency rule,
or by the rights of any other party with a direct or contingent interest in the
PROPERTY, whether legal or equitable.
3. All rights created hereunder will be subject to compliance with all CITY ordinances,
zoning approval, Ordinance No. 814, site plan approvals, and shall be in compliance
with all development permits and applicable regulations of CITY, regional, district,
state and federal Agencies. The failure of this Agreement to address a particular
permit, condition, term, or restriction shall not relieve the COUNTY of the necessity
of complying with the existing law governing said permitting requirements,
conditions, terms or restrictions and any matter or thing required to be done under
existing ordinances of the CIT Y or regulations of any other government agency or
other entity having legal authority over the Property. No such ordinance, law or
regulation will otherwise be amended, modified or waived unless conduct
constituting such modification, amendment or waiver is provided for herein and all
necessary procedural steps are talcen relative to the granting of such modification,
amendment or waiver in accordance with terms of applicable CITY ordinances and
State Statutes. This agreement does not waive any applicable impact fees,
development review fees, building permit fees, or other fees of any type except as is
specifically provided herein.
4. (a) The parties agree that the CITY's willingness to enter into this Agreement,
the staff approval or recommendation relative to the Project, land use plan
designations, the passage of ordinances attempting to modify the land use
designations, submittals to or before the City of Okeechobee City Council or
the Florida Department of Community Affairs, and any other act in
furtherance of this Agreement by the CITY, including the negotiations

leading up to the execution of this Agreement, will not be used by the
COLTNTY or its successors in interest in any way whatsoever as cominitting
the CITY legally through theory of equitable estoppel or any other legal
theory to the approval of such proposed development in the event that this
Agreement for any reason does not take effect in all material respects. The
parties further agree that any and all action by the COLTNTY or its
representatives in negotiation of this Agreement and including all efforts in
the implementation of this Agreement prior to commencement of
construction , or submittals to other governmental bodies shall in no way be
deemed to be an action in reliance giving rise to an equitable estoppel and,
in the event that it is not possible to implement this Agreement fully, the
parties' legal positions will be identical to the legal position that they would
have maintained, if any, and all matters regarding the proposed developinent
of the Property had never been discussed between them.
(b) The parties recognize that the COLTNTY's existing Courthouse, is not the
subject of a parlcing deferral and this Agreement shall not be construed to
exempt said Courthouse from any and all applicable CITY ot• COLTNTY
ordinances, state statutes and agency regulations.
6. Notwithstanding the current land use plan designations, the maximuin intensity
which may be built on the Property shall not be greater than 73,000 net square feet
of floor area for Phase I, as reflected on Exhibit "B Site Plan".
7. In accord with the Project's Exhibit "B Site Plan" the Project shall be phased as set
forth in the approved site plan approval, and such subsequent phases, additions, new
structures, and/or modifications will require new site plans and be subject to CITY's
ordinances and review and approval process.
8. All applicable goverrunent approvals and permits will be obtained by COUNTY at
COiINTY's sole cost. In the event that any development permissions necessary to
the effective iinpleinentation of this Agreement are not received, this Agreement and
the deferral contained herein shall be deemed suspended until mutual agreement of
the parties. Should the parties not be able to agree on an acceptable inodification,
this Agreement shall be deemed to be void and the development shall proceed
without an offstreet parking deferral.
9. (a) Based upon the 73,000 net square feet contained in Phase I of the Proj ect, 182
offstreet parlcing spaces are required bePore consideration of any substitution
or waiver due to surplus onstreet parlcing as authorized by CITY ordinance.
(b) CITY ordinance permits an application for a waiver of up to ffty (50%) of
the required offstreet parlcing spaces in consideration of existing surplus
onstreet parking.

(c) The COLTNTY, concurrent with the construction of Phase I of the Project is
constructina at least 91 offstreet parl<ing spaces including a parkin� lot on
property leased fi•om the FIRST LTNITED METHODIST CHURCH OF
OKEECHOBEE, INC., d/b/a/ First Methodist Church. A copy of said lease
is attached as Exhibit "C".
(d) Due to the scope of the Project, the parties agree to defer rather than waive
at this time construction of additional offstreet parking spaces. The
determination of a need for additional offstreet parking spaces shall be made
in the following manner:
(1) Following issuance of the certificate of occupancy and the relocation
into the new building of the court-related and county finance offices,
on or about January 1, 2005, the COtINTY shall initiate an autoinated
main entrance count of the persons entering and leaving the building.
This count shall continue for 90 consecutive days and be reported to
the CITY in writing upon conclusion.
(2) On the second, fifth, eighth, and tenth anniversaries of the initiation
of the count, the COUNTY shall conduct a additional 9Q day counts
to determine the percent increase in numbers of people using the
Phase I building over the previous count. This percent increase shall
be multiplied by the 91 spaces deferred by this Agreement to derive
the nuinber of additional offstreet spaces that will be constructed by
the COLINTY. Any fractional requirement shall be rounded upward
by one offstreet space. In no event shall the COLTNTY be required by
this Agreement to construct more than the additional 91 defen�ed
offstreet parlcing spaces for the 73,000 net square foot Phase I
building of the Project.
(3) Additional offstreet parking spaces required by this Agreement shall
be constructed to the standards established by CITY codes in effect
at the time of construction which shall include addressing the
drainage impacts of the new spaces.
(4) The COUNTY will construct any indicated offstreet parlcing spaces
in the first fiscal year following any count which cumulatively yields
the requirement for 20 or more unconstructed spaces.
(5) For illustration purposes only, if the first count yields 10,000 and the
second count yields 13,000, this represents a 30% increase and would
conespond to a need for 28 additional spaces (.30 X 91 = 27.3,
rounded to 28).
10. The COLJNTY will ensure to the satisfaction of the CITY that:

that required handicap parking spaces are provided and conform to state and
federal law;
adequate and safe pedestrian crossings for onstreet parking are coi.structed
based on a plan approved by the City Engineer;
necessary road improvements shall meet CITY's onstreet parlcing and
curbing standards as contained in the CITY Land Development Regulations.
The development of the Property shall ineet the requirements of all existing CITY
ordinances except as otherwise specifically waived or modified herein. The CITY
and the COL7NTY shall coordinate the scheduling of construction obligations herein
with the development schedule of the COUNTY so that infrastructure improvements
provided for herein will be completed in a timely fashion so as to provide services
to the proposed development in an orderly inanner.
If required by law, COUNTY will obtain development permits fi•om the appropriate
and necessary government agencies.
Any notice or request required or authorized to be given by the terms of this
Agreeinent or under any applica.ble law by either party shall be in writing, hand-
delivered, or sent by certified or registered mail, postage prepaid, i•eturn receipt
requested. Such written notice shall be addressed as follow:

Either party may, by subsequent written notice, designate a different address or party
for receiving notice.
This Agreement constitutes the entire Agreement and understanding between the
parties as to the Judicial Complex parlcing deferral and no modification hereoF shall
be made except by written Agreement executed with the same formality of this
Agreement. Except as is otherwise specifically provided herein, the Property shall be
subject to the laws, ordinances and regulations of The City of Olceechobee, Florida,
as they exist as of the date of this Agreement.
This agreement shall remain in effect until such time as any additional offstreet
parl<ing required by the tenth anniversaiy count are constructed or until the county
constructs the 91 offstreet parlcing spaces deferred by this Agreement, whichever
comes first.

ARTICLE II: r�Ervr
2. "1 Rent.
2.1.1 B�se f�ent. Tenant agrees to and shall pay to the Landlord ihe si_�rn of one

ARTICLE III: U�E 4F PREMISES
3.1 Tenant's Use. The leas�d pr�mises shall be used and occupied by Tenanfi solely
as a public parkinq lot and for no other use without Lanellord's priar written consent. "l�he Tenant
rriay restrict parking to employees, stafif, or juries during normal business hours.
3.2 L�ndlord's Use. Subje�tto special events and emergency conditians, the Landlord,
its parishioners and invitees shall have the rigl��t to the free, npn-exclusive use of tl�e par!<ing
facilities after 5:OOP.M, on weekdays and all weekends.
3.3 Compliance with Law. Tenant shall comply With and conform to all federal, sta#e,
and local laws, ordinances, regulations and rulings relating to the condition, use, improvement,
repair, or occupancy of the Premises.
3.2 Manner of Use. Tenanfi ac�rees:
3.2.1 Construction. The parlcing lat shall be paved and constructed fo pres�rve any
he,althy oak trees on the Premises. Subject to appropriations, the parkirig Int shall b� lighfied to
imprave public safety and convenien�e.
3.2.2 Nuisance. Not to commit or permit any public ar private nUisance or any other
act or tl�ing which would disturb tl�e quiet enjoyment of any occupant of nearby properfiy; except
tfiat ff�e normal operation of a parkina lofi shall not constitufie a nuisance.
ARTICLE IV• UTIL:ITI S AND TAXES
4.1 Utiliti�s. It shall be Tenant's obligation to pay for any and all utilities used by Tenar7l
in connection wiih the f'remises.
4•2 Rgal Egtate Taxes.
4.2.1 Tenant agrees to pay before they become delinquent all real or personal
proper�y taxes (both general and special); assessments or governmenfial charges lawfully levied
or assessed agains# the Premises.
4.2.2 Other Taxes. Tenant shall pay all sales fiax and taxes on Tenant's leasehold
interest and personal property placed in, upan, or �baut the Premises and all privilege gas, sewer
anrJ any other accupancy taxes.
n4R7'ICLE V: ALTERATIONS fdEPAIRa� REM4VAL QF
EQUIPM�NT, FtESTORAtION
� 5.1 Condition of Property, qlterations, Additions, anri Improvements. There is
currently a basket ball court as well as building encroachments witl�irl the Premises. Tenant's use
shall not interfere with or inhibit these uses. Within 18 months from tl�e efFectiv� date of fihis
agreement, the Tenant shall commence canstruction on improved parking that is engin�ered and
in compliance wifih City of Okeechobee codes. The construction shall be in the general
configuration �s shown on exhibit "A". Any substantial deviation from this plan sh�ll be approved
by the L.andlord pric�r to con�#ruction.
5.2 Repairs ar�d Maintenance.
5.2.1 Tenant sha11, at its own cost and expense, maihtain the premises in good
condition and repair througl�put tlle term of tliis Lease, ordinary wear and tear excepfied at
Tenant's sole expense, without reimbursement from the Landlord, and without deductions from
the rental amount due to the Landlord. It is the intent of the parties that the Premises is beinc�
leased AS !3 and the Landlord will not be responsil�le for any payment or expenses. At the end
of the Term or other termination of this Lease, 7'enant shall deliver the premises with all
improvements therean in good repair and conditian, reasonable wear and tear, and damage or
destruction by fire or other casualty, excepted. Tenant shall maintain said premises within ADA
regulations. .
5.2.2 In the event Tenant shall fail to maintain the Premises in acGordance witt�
Paragraph 5.2.1, Landlord shall have the rigfit (bufi not the obligation) ta cause all repairs or other
maintenance to be made and the reasonable costs therefar expended by the Landlord shall be
p�id by Tenant upon written demand.
5.3 Surrender or f�emoval, All alterations, installations; cl�anges, additfons, r�pairs,
ar improvemei�ts which are made in, an, or to tlie Premises ar�d all fixtures, trade fixtures, and
equipment install�d therein by Tenant shall be antl remain tlie property af Tenant, and Tenant
shall have the right at any time to remove such pi-operty (oth�r than the asphalt, concrete and
drainage facilifiies that �re int�gral to the conYinued use as a parking lot) provided that Tenant shall

ARTICLE VI: INSU�iANCE AND INDEMNITY � �
6.1 Obligation of Tenant to Provide Public Liabi�lty Insurance. Tenaht shall, at ifis
sole cost and expense, procure and maintain during tlie term of this Lease comprelisnsive pGlblic
liability insurance witli limits of not less than three huridred thousand dollars ($3d0,000.00) in case
of injury or damage to one person, and five hundred thousand dollars ($500,000.00) in case of
injury or damage to more tlian one person in the same accident or occurrence, and fifty thousand
dollars ($50,000.0�) in case of damage #o property. Landlord shall be narried as Loss f'ayees on
any such policy of insurance.
82 Notice of Canc�llation. All of the insurance policies described in paragraph 6.1
shall provide that Landlord shall be given not less than ten (10) days written nafiice prior to
cancellation of or change in the policies.
6.5 Delivery of Policies; F�ayment of Premiums. Upon the commencement of the
term of this Lease, Tenant shall deliver ta Landlord copies of the policies of insurance required
pursuant to paragraph 6.1 or, in the case of 6lanket �overage, cerkificates evidencing the
existence of such insurance, iogether wifih satisfactory evidence that tl7e premiums far all sucl�
insurance have beert paid. Not less than tl�irty (30) days before the expiration of any insurance
coverage, Tenant shall d�liver to Landlord satisfaciory evidence tl7at such insurance r�as been
renewed and ihat the required premiums have been paid.
6•6 Indemnification of Landlord. Irrespective of any insurance c:arried by Tenant,
pu�suant ta this Lease or otherwise, T�nant shall, to the extent permitted by Florida law witl�out
waiver of savereign immunity, indemnify and hold Landlord harmless againsk and from tf�e loss,
cost, damage, or expense, including reasonable attorneys fees and court cosfis, arising out of any
accident, casualty, or other occurrence causing injury to any person or property arising fram the
use of the Premises by Tenant, its agents, employees, or invitees or caused by or arising from
any act of omission of Tenant, its agents, emplbyees, or invitees, provided that such lass, cast,
dama�e, or expense does not arise from any acfi or omission of Landlord including filie willF�al act
or negligence of Landlord or by Landlord's failure to fulfill its abligations under this Lease.
ARTICLE VII: ASSIGNMENT AND SUBLETTING
7.1 Assignment anc� Subletting. Tenant shall not assign or otf7erwise transfer tliis
Lease ar its leasehold inferest in the Fremises, in whole or in parfi, nor sl�all Tenant sublease tl�e
Premises without prior written consent of Landlard in �aci� instance.
ARTICLE VIII: DEFAULT PR�VISIONS
�i. � Default by Tenant and Termination of Lease. Each of the fQllowing events sh�ll
be a defiault or breach of tliq Lease and, at L�ndlord's elecfiion, shall cause a terminakion of ihe
Lease; �
8.1.1 Abandonment or Breach of Covenants. Abandonment or surrend�r of the
Premises or of the leasehold e�tate or failure or refusal to pay when due any installmerit of rent
or any otlier sum required to be paid by Tenant or to pertorm any covenant, term, or condifiion of
this I_ease.
8.1.2 Receivership. The appointment of a reeeiver, for any reason, includinc�, but
not , limited to, assignmenfi far benefit or creelitors ar voluntary or involuntary bankruptcy
prviceedings.
8.1.3 Bankruptcy. The filing of a volunfiary of involunfiary petition Uy or against
Tenant under any law for the purpose of adjudicating Tenant bankrupt; or the filing of any position
or other proceedirtgs under #he Bankruptcy Act, or the undertaking of any reorganization,
liquidation, dissolution, arrangemenf, composition or assignment for the benefits of creditors, on
accounfi of or to prevent bankrupficy or insolvency.
8.2 Notice of Defauft. As a precondition to pursuing any remedy fior any defaulC be
eitl�er party, the nonbreacl�ing party shall give written notice of default to the breachin

8.3 R�ght to Cure Defaults. If the alleged default is for nonpayment of rent, taxes,

8.4.1 Re-Entry Without Termination. Landlord may continue this lease in full force
and efFecf until Landlord by natice expressly t�rmin�tes T'enanfi's right to possession. During any
such period afi default, Landlord shall have the right:; (a) to collect the rent when due, and, (b)
to re-enter the Premises and relet all or any part of it to fhird parties for Tenant's account.
Tenant shall be immediately liable to Landlord for all cosfis incurred in such reletting, including,
without limitation, broker's commissions, artd attorney's fe�s. Any reletting may be for a period
shorter or longer #han the remaining term of this Lease. Tenant shall pay to Landlord the rent due
under fil7is Lease on the d�tes it is due, fess any rent Landlord received from the reletting. Na act
by Landlord permitted by this paragraph shall terminate this Lease unless Landlord expressly so
notifies Tenant in writing. After Tenan#'s default and for �s long as Landlord does not terminate
tl�is Lease, if Tenant obtains Landlord's consent, Tenant shall have the righf to sublet iis interest
in tfiis Lease, but Tenant shall not be released from liability. Landlord's consent to a proposed
subletting by Tenant shall not be unreasonable withheld.
8:4.2 Termination of Lease and f�ight fio Fossession. Landlord may terminate far
any af the reasons s�fi farth in Article VIII, this l�ea$e by giving Tenant notice of termination.
Immediately upon giving of that nofiice, all Tenant's rights in the Premises shall t�rminaie. Tenaht
shall forthwith surrender and v�cafie the premises in good, broom clean condition and repair.
Termination under this paragraph shall not relieve Tenant from the payment af any sutn then due.
Landlord or from any claim for damages previously accrued or tl�en accruing against Tenani.
However, Landlord shall have a duty to make every reasonable effort to mitigate its dai�ages
caused by Tenant's breacl7.
8.4.3 Use of Personal Property. After default, Landlord may use any of Tenant's
property not removed from the Premises withoufi compensation �nd witliout liability for use nr
damage or may store it for the account and at the cost of Tenant.
8.5 Remedies Cumulafiive: Tlie righfis, powers, elections, and remedies of the
l.andlord contained in this Article shall be construed as cumulative and no one of tl�em is or shall
be considered exclusive af any other, or of any other rights or remedies allowed by law, and the
exercise of one or more rights, powers, elections, or remedies shall not impair Landlord's right to
exercise any others.
�R� T_ CLE IX• MISCELLANEOUS
9.1 Attorney's Fees. In any acfipn or proceedings to erYfiorce, protest, or establish any
rigl7t or remedy under this Lease, fihe prevailing party shall be er�titled to recover reasonable
attorney's fees and other costs of lifiigatinn, at both the trial and appellate levels.
9.Z Notice. As used in #his Lease, "notice" includes but is nafi limited to the
communication of notices, requests, demands, approvals, statements, reports, acceptances,
consents, waivers, and appointments. All notices must be in writing. Notice is considered given
either (a) wl7en delivered in person tQ the recipients namecl on page 1, or (b) five (5) days after
deposit in the United States mail in a sealed envelope or container, either registered or cerkified
mail,, return receipt requested, postage and postal charges prepaid, addressed by name ar�d
address to the party or person intended. Either party may, by notice given at any time or �rom time
to time, change these designafifons.
9.� Capfians. The captions of the various paragraphs ofthis Lease are far convenience
and ease of reference only �nd do not define, limit, augment or describe .the scope, content, or
infient of t�7is Lease or any �art of it.
9.4 Entire Agreement. This l..ease conteins the entire agre�men# beiween tlie pa�ties.
No promise, representalion, warrant, pr covenant nofi included in this Lease has been or is relied
upon by either party. �
9.5 Surrender of Leasehold and Improvemenfis. At the expiration of this Lease ar
upon ifis earlier termihation, Tenant shall surrender the Premises to Landlord free and clear of all
liens, claims and encumbrances in good, sound and broom clean condition, ordinary wear and
tear except�d. Surrender or removal of improvements, fixtures, trade fixtures, equipmeni,
additions, alterations, and installations shall be as described in paragraph 5.3. All property that
is abandoned by Tenant shall. become Landlord's property at termination, afi its election.
9.6 No Merger; Termination af Subtenancies, Any terminafiion or surrender of tl�is
Lease, voluntary or otherwise, or its mutual cancellation shall, at Landlord's option, terminate all
or any existing suUleases and subtenancies, or operate as an assignment to Landlord of any ar
all such subleases or subtenancies,
9.7 Landlord's Righ� to Insp�at. Landlord shall�b� entitled at all reasonable times,
upon reasonable notice, to go on the Premises for the purposes of inspecking them and observing
the performance by Tenant of fihe terms and condiiior�s af this Lease, as well as for the purpose
of posting notices of nonresponsibility for any construction, alt�ration, or repair as required or
permitked by any law ar ordinance.

'9.a ' No Waiver of Breacli. No failure by either Landlord or Tenant to insisl/upon the
slrict performance of any cov�nartt, agreem�nt, term, or condition of this Lease or to exercise any

and every covenant, condition, agreement, and term of fihis Lease shall continue in full force and
effect with respect to any ather existing or subsequent breach.
9.9 Computation of 7ime. The time within which any act provided for by this Lease is
to be done is comput�d by Excluding the first day and including the last, unless the last day is a
Saturday, Sunday, or holiday and then it is also excluded. The term "lioliday" shall mean all
holid�ys officially recognized by the federal government and the government of tlie state in which
the premises are located.
9.10 Relafiionship of Parties. Nothing contained in this Lease shall be deemed or
construed by the parties or by any third person to creaie the relationsl�ip of principal and agent
or of partnership or of joint venture or of any associafiior� between Landlord and Tenant, and
neither the method of computation of rent nor any other pravisions contained in fihe Lease nor any
acts of the parties shall be deemecl to cr�ate any relationsl�ip between Landlord and Tenant, otfisr
than the relationship of landlord and tenant.
9.10 Construa�ion. Should any provision of tl�is Lease be subject to judicial
interpretation, it is agreed tha# ttie courk int�rpr�tin� or considerin� such provision will not a�ply
tl�e presumptiort or rule af construction that tfie terms of fihis Lease be more strictly construed
�gainst the party which that party or through that party's counsel or other agent prepared the
same, as all parties I�ereko have participated in the preparation of fil�e final form of this Lease
through review by their respective counsel, if any, and/or the negotiation of specific language and
terms, and, therefore, fihe application of such presumption or rule of constructian would be
inappropriate and contrary to the intent ofi the parties.
9.11 5everability. The invalidity or illegality of any provision of this Lease shall not affect
the remainder of it which shall remain in full force and eff�ct.
9.12 Successors and Assigns. Subject to the provisions of this Lease regarding
assignment and subletting, each and all af the covenants and conditians of tliis Lease shall be
binding on and shall inure ta the benefit of the successors and assigns of the parties.
9.13 No Liens. Tenant shall have no power or authority to permit liens to be placed upon..
the premises in connection with maintenance, alterations, modifications or otherwise. The interest
ofi the Landlord shall nat be subject to liens for improvements made by the Tenant. Landlard sliall
not be liable for any work, labor, or materials furnished to tlie premises by or ihrough Tenant or
anyone claiming thrnugh Tenant:
9.14 Gluiet Enjoyment. Landlord warrants filiat Landlord has full riyf�t and power to
execute and perform this Lease and to grant the estate herein and ihat Tenant, on payment of
Rent and perForming the covenants herein contained, shall peaceably and quistly have, hald and
enjoy tlie Premises during the full Term af this Lease and any extension or renewal f�ereof.
9.15 Rlght of First Refusal. If during the term of this Lease, the Lancllorcl shall have a
bona �Fid� ofFeria purch�se the premises, wl�ich the Landlord ciesires to accept, the Landlord shall
notify the Tenan# in writing of such bona fide offer stafiing th� price arid o#h�r terms thereof.
Tenant shall have tl7irfiy (3d) days following the mailing of this vvritten notic� within wtiich to notify
the Landlord in writing as to whether the Tenant desires to purchase the premises at ihe same
price and on th� same terms as contained in the bana fide affer received by Landlord. Any neglec#
or failure on the part of tl�e Tenant to respohd to tlie L.andlard's notice of the bona fide offer shall
be conclusively deemed to be an elecfiian rtot to purchase the premises. If the Tenant elects �o
pur�hase fhe premises, the Landlord shall convey these premises to the Tenant for the price and
on the terms contained in tlie bona fide offer. If the Tenant elecfis either directly or indir�cfily not
to purchase the premises in accordance with the terms and conditions of the bonafide offer, tf�en
the Landlord shal) be at liberty to sell and convey the premises for a price equal to or in excess

D. Motion to approve a Lease Agreement with Option to Purchase for
the sale of land to Tim Gates continued.
Attorney Cook explained the purpose forthe new Lease agreementwith Mr. GateslSheffield was that the previous one
had expired. In order to proceed with the grant funding a Lease has to be in place. There was discussion between
the Council antl Staff regarding the insurance on the property.There was an insurance clause in the agreementwhich
made Sheffield liable for any and all claims, actions, suits or other demand for personal injury, property or casualty Ioss
which may occur on the premises. Attorney Cook agreetl with Mr. Gates request that the section be changed since
he does not intend to be atthe site until July 1. The City is doing work atthe site. Council Member WatFord asked for
clarification whether or not the Lease Agreement was assignable to another party, Attorney Cook responded no. Mr.
GateslSheffieltl has until July 1 to obtain the funding needed to participate. Should that funding is not obtained by that
date they are no longer a part of this project.

E. Discussion pertaining to a request made by First Baptist Church to Administrator Veach stated that he had received a letter from the First Baptist Church of Okeechobee asking the City
consider the installation of a pedestrian crosswalk at the corner of to consider installing a flashing yellow light and crosswalk on the corner of Fifth Avenue and Fourth Street. 7here are

installation of the pedestrian crossing system. Included in Exhibit Five was a price quote obtained by the Public Works'

However, there are three items that the Council would need to address in the agreement, Those items are OO How
many years do we want to monitor the traffic? OO When will the "counts" for traffic be done? And OO When does
construction of additional parking spaces begin?
There was a lengthy discussion between the Council, Staff, County Commissioner David Hazelieff and County
Administrator George Long. The consensus was that the agreement would reflect that traffic counts would be on the
two main entrances to the new Court House. The counts would be dane on the second, fifth, eighth, and tenth
anniversary. The data collectetl in the counts will be provided to the City as soon as its available. Once the increased
traffic flow calls for twenty adtlitional off street parking spaces, construction is to begin for that fiscal year. The
agreementwill expire afterten years orthe construction of ninety-one off streetparking, whichevercomesfirst, There
will not be a provision for including the lease agreement with the First United Methodist Church of Okeechobee. Since
the agreement is based on the ninety-one spaces, if the County loses the parking arrangement with the church those
spaces would have to be addressed at another off-street site.
Council Member Watford moved to a�prove the Interlocal Agreement as amended; seconded by Council

Mayor Kirk was given authority to review the agreement after the above amendments were included. If the Boartl of
County Commissioners does not approve this same agreement it must come back to the Council for further

The Council was more comfortable with discussing Item "C" before considering the adoption of this resolution, the two
items pertain to the same subject matter. Council Member Chandler withdrew his second, Council Member
Williams withdrew his motion from the floor in order for the Council to discuss Item "C" at this time.

all parties agreed that an Interlocal Agreement would be the best method for addressing this matter.
The Council instructed Mr. LaRue to use the same items listed in the proposed developers agreement, paragraph
number eleven, except for the provision to have landscaped parking bu�er areas for every twelve spaces that are
provided on the street. Most specifically they wantthe following provisions in the proposed interlocal: OProvide a copy,
as an exhibitto the agreement, of the lease between the County and the First United Methodist Church of Okeechobee
for parking; OO Affirmation that no less than twenty-eight parking spaces will remain on the new courthouse site; and
OO Provide for a traffic and parking monitoring program stating when they will be done and once the program indicates
that additional off-street parking is needed, how it will be mandated. The interlocal will be brought to the Council for
consideration at the March 18 meeting.
Mayor Kirk and Council Members also clarified for the record that there will not be any parking spaces in front of
alleyways or other property owners existing curb cuts.

Temporary Use Section 681 (5) amendment. As the amendment is written, it would require every youth
group/organization, sports team, church group, etc. that wanted to holtl a yard sale, car wash or bake sale, even if it
was on their own propertyto complete a Temporary Use Application, show proof oftheir non-profitstatus and purchase
liability insurance and request a fee waiver each time they wanted to hold a fund raiser. The Council had stronq
reservations regarding this amendment and instructed Attorney Cook to present at the final public hearing
language that would keep those types of groups from having go through the Temporary Use Permittinq
rocess.

Alley Closing Application No. 68 was submitted by Steven G. and Mary A. Porter along with co-applicants Jerry D. and
Willa D. Townsend. Additional property owners within the blockwho signed Letters of Consent are Lucy Goglia, John
C. Perry, Jr. and Ricky R. Redish. The request is to close the North to South alley located in Block 34, First Addition
to South Okeechobee subdivision. No easements are being required bythe utility companies. City Engineer Bermudez
along with Public Works Director Robertson are objecting to the closing due to drainage issues within the area.
Attorney Cook asked whether Mr. Porter would object to a drainage easement being retained. Mr. Porter responded
that he did not object, however, he could not answer for the other property owners involved.

Request for a Reduction of Parking Spaces in a Public Use District
Okeechobee County is proposing to expand the county courthouse located in the downtown area of
the City of Okeechobee.
Okeechobee County requests that the City of Okeechobee find that there is a surplus of on-street
paxking available in the irrunediate vicinity of the courthouse that is not required by other uses, and
accordingly that the City of Okeechobee grant a 50% reduction in the number of off-street parking
spaces that are required to be provided in association with the courthouse expansion project.
Description of the Okeechobee County Courthouse Expansion Project
The current, historic courthouse is situated in the center of an entire city block and has a footprint
of 13,269 square feet. The total gross floor area of the building is 24,286 square feet. When vacated
by the various court and Clerk functions, the building will be renovated. Following the renovation,
possible uses for the building include county administrative offices or possibly some continuation
of court activities, but a final decision has not yet been made.
The courthouse expansion will occupy the block to the north of the historic courthouse. The portion
of NW 3ra Street between the two courthouse blocks has been vacated by the City, allowing for a
unified governmentaUjudicial district. The new courthouse will have a footprint of 28,058 square
feet.
The interior of the three-story courthouse expansion will be approximately 76,273 square feet. Of
that total are several areas found only on the ground floor that are external to the main structure.
These include the security lobby that comprises the front entrance, and the prisoner sally port,
generator room, and electrical and fire pump rooms to the rear. The front security lobby and the rear
prisoner sally port usually would not be found in a government building, but are provided to ensure
security for the unique functions of a courthouse. Areas such as the unoccupied electrical and fire
pump rooms sometimes are located within a building, but have been located outside of the main
structure for safety and architectural reasons
Subtracting the area of the ground floor external appurtenances, the result is a worlcing gross area
of 72,922 square feet for the three-story building.
City Parking requirements
City of Olceechobee regulations require 1 parking space for each 400 square feet of net floor area for
a government office or courthouse. Using the net area of 72,922 square feet, a total of 182 parking
spaces are required.

Section 454 of the City's land development regulations, as amended, states that City Council may
reduce the number of off-street parking spaces that must be provided if the Technical Review
Committee finds that there is a surplus of on-street parking in the immediate vicinity that is not
required by other uses. The maximum reduction that may be granted by City Council is 50%.
Accordingly, up to 91 of the required off-street parking spaces may be substituted for on-street
parking if it is available. A minimutn of 91 off-street parking spaces would still be required.

Off-stYeet paYking spaces
Of the required 182 parking spaces, 97 will be provided off-street. That includes 28 spaces to be
located to the rear of the courthouse expansion, and another 69 that will be provided in a parking lot
that the County will construct on an adjoining block owned by the First Methodist Church.
By providing the 97 off-street parking spaces as described, the courthouse expansion project will
exceed the minimum requirement of 91 off-street parking spaces, and will have a small surplus of
6 off-street parking spaces.

On-street parking spaces
A review of paxking currently available or that will be constructed in association with the courthouse
expansion indicates that there will be a surplus of 153 on-street parking spaces within one block of
the courthouse. That includes an allowance for businesses in the area that rely on on-street parking
for all or part of their parking needs. The availability of on-street parking spaces is described as
follows:
As part of the courthouse construction project, on-street parking will be constructed adjacent to
Block 125, the block on which the courthouse expansion will be located. On-street parking
contiguous to Block 125 will consist of 15 spaces to be constructed on the east side of NW 4�'
Avenue, 13 spaces to be constructed on the west side of NW 3`d Avenue, and the use of 15 spaces
that can be striped on the north side of the block (south side of NW 4t'' Street).
A total of 43 on-street parking spaces will be constructed or otherwise available surrounding and
contiguous to the courthouse expansion block, all of which can be considered surplus on-street
parking.
To the east of the courthouse, all of Block 139 is owned by the First Methodist Church, all of Block
124 is owned by the Episcopal Church, and most of Block 107 is occupied by Okeechobee Rehab.
Because of their hours of operation, on-sireet paxking adjacent to the church properties will be
available duxing business hours of the courthouse. On-street parking will also be available near
Okeechobee Rehab, as on-street parking there is rarely used. Accordingly, on-street parking on both
sides of NW 3id Street between NW 2"d Avenue and NW 3rd Avenue will be available for use, as well
as parking on the both sides of NW 4t'' Street between NW 2id Avenue and NW 3rd Avenue. In
addition, the County will construct on-street parking on the east side of NW 3`d Avenue between NW
3rd Street and NW 4�' Street.

Allowing for some driveways, a total of 96 on-street parking spaces in this area can be considered
surplus.
North of the courthouse expansion, on the north side of NW 4"' Street between NW 3rd Avenue and
NW 4t'' Avenue, are 2 residences and one small office building. Providing for a driveway connection
and business use by the office, 14 on-street parking spaces can be considered stuplus, not including
2 spaces for use by the professional office.
In the immediate area of the courthouse, a total of 153 on-street parking spaces are or will be
available that are not otherwise in use and can be considered surplus. That includes the spaces
contiguous to the courthouse expansion block, several spaces across the street to the north, and a
number of parking spaces within one block to the east.
Up to 91 on-street parking spaces are required for the courthouse expansion project. The available
surplus of 153 surplus significantly exceeds the number of spaces needed, still leaving an additional
62 on-street parking spaces not allocated for courthouse use.
In addition to the surplus 153 on-street parking spaces available contiguous to or to the north and
east of the courthouse, ample parking is available for the businesses which are located to the west
of the courthouse, most of which rely significantly or exclusively on on-street parking to meet their
paxking needs.
Available parking in that area includes both sides of NW 4"' Street between NW 4"' Avenue and NW
St�' Avenue, where 28 spaces can be provided by striping the existing roadway. Another 22 spaces
already exist on both sides of NW 3rd Street between NW 4t'' Avenue and NW St'' Avenue. Finally,
16 spaces will be available on the west side of NW 4`�' Avenue between NW 3rd Street and NW 4�'
Street. Those 16 spaces will be constructed in association with the courthouse expansion project,
even though it is anticipated that the spaces will be used by nearby businesses and are not intended
for courthouse use. Altogether, a total of 66 on-street parking spaces will be available for use by
local businesses in the area west of the courthouse.
Request for a Reduction of Parking Spaces in a Public Use District
In total, there are or will be 221 on-street parking spaces in the immediate vicinity of the courthouse
expansion, not including any of the spaces south of NW 3rd Street that surround the historic, existing
courthouse.
At least 153 of the 221 on-street paxking spaces are surplus and are not required by other uses.
Okeechobee County requests that the City of Okeechobee find that there is a surplus of on-street
parl�ing available in the immediate vicinity of the courthouse that is not required by other uses, and

Statement of special reasons and basis for tl�e request
Okeec]ioUee County intends to construct uew court facilities to augmeiit the existing, historically
significant Uuilding. The existing courthouse will Ue renovated and likely will coutinue to provide
some court functions and perhaps will house other county govenunent offices.
Because the City of Okeechobee is the county seat, it is important tl�at the courChouse, including the
new court facilities, remain in the downtowu area. The new court Pacilities will include a tlu•ee-story,
state of the art building that will incorporate architectural features of Uie historic courthouse. The
existing and new court facilities, each on an entiire city block, will form a judicial center for the
cotmty that will Ue unif ed Uy function, architecture aud landscaping.
The property on which the new facilities are proposed to be located is zoned Comniercial
Professional Office (CPO). As the new court facilities will be for govenunent use, a more
appropriate zoning classification for the property is Public Use (PUB).
Intended use, nature of activities and developmeut of property
The new court facilities include a 72,922 square-foot Uuildiug, proposed to be constructed in the
heart of the city's business and office district. The new court facilities will house most of the court
fuuctions currently operatiug from the historic courthouse. In addition, the offices of the state
attoi-�iey and public defender will be relocated from their current location at the County Annex on
NW 5°i Avenue.
The three-story building housing the new court facilities will be located in the center of an entire city
Ulock, immediately to the north of the historic courthouse. The site will be developed with on-street
parking suirounding the new facilities, and the entire two-Ulock judicial center area will be
landscaped. Future plans include two more buildings to be constructed on the east aud west side of
the judicial center to house additional court or county govermnent operations.
�xisting uses of surrounding property
The suUject property is iu the city's office district. To the north are two residences and a business.
To the east are a church and vacant property owned Uy the church. To the south is the existing,
historic courthouse. To the west are two businesses. Professional offices and county government
Uuilciiugs predorninate throughout the entire area.

The �ity has gane to great lengths to cooperate wiih the County to provide a workable Site
Plan and a solation to parkin,g needs for the new Judicial Corr�plex. Amendments to the Land
Development Regulations are extremelyg�acious and overIyconsicierate; proposals being considez�;.d
will reduce parking needed by:
I) Reducing the standard &oitt 200 square feet to 400 square feet, oFfloor area ta determine
parking;
2) Changing the use of goss floor area to net floor area when caleulating the spaces; and
3) Reducing the amount of on-site pArking 6y up to SU% with City Council approval.
Becatxse of these extremely liberal considerations and the City's good faith efforts to assist
the County> it is only faix that the County recip+�ocate by providing the proper analyses aridressing
impacts and safety issues, in particular: traffic circulation, parki�g, and pedestrian cansiderations,
and in a timely manner. TYie following itcros musi be addressed prior to Site Pian appmval:
1) The repart indicaies a likety use ofthe existing Courthouse as Uie administrative center
of Okeechobce gavernment without addressing its parking recluirements. What will those
parking nceds be when the new Courihouse is buiit? The County should be ahl� to show
a reasonable pa,rking need at the Technical Review Committee me�tin�. The City will

of the facilifiy totals 10,232. Dividing this number by 91 (number of on-street parking
spaces authorized by waiver) results in a person-to-on-street parking space ratio of
112.44.
During the first quarter of 2010, the number of persons passing through the main �ntrance
of the facitity totals 13,134. Dividing this number by 112.4A� (person-to-on-street parking
space ratio calcuiated above) resutts in a quotient of 116.80. Subtracting 91 (number of
on-street parking spaces authorized by waiver) from this quotient results in a difference
of 25.8. Consequently, the county would be required to construct 26 additional off-street
