WHEREAS, OWNER holds a fee simple title to the following described real property in Okeechobee County, Florida, to wit: LEGAL DESCRIPTION: LOTS 2, 3, AND THE NORTH THREE FEET OF LOT 4 OF BLOCK 3; SOUTH OKEECHOBEE; ACCORDING TO THE PLAT THEREOF RECORDED IN PLAT BOOK 1 PAGE 12 AND PLAT BOOK 5 PAGE 7, PUBLIC RECORDS OF OKEECHOBEE COUNTY, FLORIDA; and WHEREAS, the CITY owns the following platted alleyway(s): A 15 -FOOT WIDE ALLEYWAY RUNNING NORTH TO SOUTH AND LYING BETWEEN LOTS 1 THROUGH 6 AND 7 THROUGH 11 WITHIN SAID BLOCK 3; and WHEREAS, the OWNER desires to make certain improvements in the form of fencing and /or gates on, across, and /or along the property located within the alleyway of said Block 3, which is an open unimproved alleyway owned by the CITY. NOW, THEREFORE, in consideration of the mutual promises and covenants set forth herein, the parties agree as follows: 1. The CITY hereby grants this revocable license for the use of a portion of the alleyway as follows: THAT PORTION OF THE 15 -FOOT WIDE ALLEYWAY WITHIN SAID BLOCK 3, LOCATED BETWEEN LOTS 1, 2, AND NORTH 3 -FEET OF LOT 4 AND LOTS 7, 8, AND NORTH 3 -FEET OF LOT 9. 2. The OWNER understands they will maintain the portion of said alleyway. Should it ever become necessary to remove any fencing /gates, or improvement thereon, in order to allow either the installation or maintenance of water, sewer, or other utility lines or any other type of installation or construction, or for any other reason chosen by the CITY, the fencing /gates, or any improvement thereon, will be removed by the OWNER or their agents and /or assignees at the OWNER'S expense within seven days of receipt of written request by the CITY for such removal. Should the CITY, for valid reasons, require the removal of the fencing /gates, or any improvements thereon, less than seven days' notice, the OWNER agrees to exercise reasonable efforts to comply with such requests. 3. OWNER agrees to contact their insurance company and require an endorsement be added to their General Liability Insurance policy listing the CITY as an additional insured with a Certificate of Insurance, as well as a certified copy of the endorsement, furnished to the CITY showing the PORTION OF THE 15 -FOOT WIDE ALLEYWAY WITHIN SAID BLOCK 3, LOCATED BETWEEN LOTS 1, 2, AND NORTH 3 -FEET OF LOT 4 AND LOTS 7, 8, AND NORTH 3 -FEET OF LOT 9 as herein described, to be used by them, insuring the CITY against any liability arising out of alleged injuries or other activities which may occur within the alleyway. In any event, OWNER agrees and shall hold the CITY harmless for any and all action, suit, claim, injury, or cause of action of any nature arising out of OWNER'S permissive use, and indemnify CITY for such, including costs and attorney fees. 4. OWNER agrees to furnish the CITY with a copy of the Certificate of Insurance listing the CITY as an additional insured, as well as a copy of the Page 1 of 2 policy endorsement, annually upon renewal with their insurance carrier. 5. OWNER shall not, by such improvements made to that described alleyway, obstruct, close or otherwise restrict access to the alleyway for travel thereon by the CITY or the general public, except as otherwise provided in this agreement. a) OWNER understands and agrees that gates must be installed at the North and South ends of the alleyway in said Block 3, and that they may not be locked in any manner that would restrict access through the alleyway. 6. OWNER agrees this license is non - assignable without the express written consent of the CITY; and if OWNER sells or transfers said subject property or any portion of said subject property, as described herein, the covenants shall bind themselves, their heirs and assigns, and said covenants shall run with the land. 7 The City Clerk shall cause this license to be recorded in the public records of Okeechobee County, Florida. 8.
