That it is hereby found and recited as follows: (~) That Refundin~ Bonds of the description and in the e2aounts as stated in Section ~ ~ereof, have been heretofore duly validated, and, in executed form (except as to S947.88 of such bonds) will be presently deposited in escrow with (B) That instructions for the delivery of said Refunding Bonds in exch&n~e fez &nd. in sa!isfaotion of outstanchtng indebtedness of the City are contained in the following portions hereof. ~otion ~. That in order to give effect to the provisions of Section l~ of the said Refu~din~ Resolution, the Bank is hereby specifically instructed that, in e~ktng deliveries of the Series A and Series B Refunding Bonds, the followin~ procedure ah~ be observed, t~-wit: (1) The Bank is hereby authorized and directed to deliver either Series ~ or Series B Refunding Bonds, respectively, in exchange for and upon surrender of a~ounts of outstanding bonds and evidences of indebtedness, interest accruals thereon or upen presentation of proper releases of Judgments (original indebted- ness) described in the said Refunding Resolution as a~ended by said Amendatory Resolution in excess of 45~ of the par value of the Refunding Bonds, that is to say _ for each S1~)00.00 a~ounts of outstanding bonds and evidences of unpaid interest accruals ther~n or proper releases of judgments in the amount of $1,000.00 the bank is hereby authorized to deliver in exchange therefor S550.00 of such Refund- ing Bonds. Tl~e Bank shall cancel all evidences of outstanding principal and accrued interest indebtedness surrendered and forward sa~e to the City Clerk of this City, wil~h proper reports including the particular refundin~ bonds delivered in exchange t~refor and in exchange for proper releases of the jud~ent indebted- (2) The ~efunding Bonds being dated January 1, 1942, therefore all out- standing bonds (except, of course, those which ~atured prior to that date) should, upon exchange have attached thereto all coupons evidencing interest accruals from January 1, 19~; to the ~aturity dates of the respective bonds, but, in the event that any of tt~ outstanding bonds are presented without any one or ~ore.~of such coupons, the ~ank shall deliver in exchange therefor proper Refunding Bonds after having olippecl: therefrom interest coupons representing interest accruals for a period of time identical to that represented by the coupons mlssin~ from said out- standing bonds. Any coupons so detached from Refundin~ Bonds shall be cancelled by the Bank and returned to the City with proper report covering such transaction. (3) The ~tefunding Resolution provides for the issuance in exchange of Series ~ and/or B Ref~in~ Bonds, respectively, in lieu of any unpaid interest accruals to January l, 1942, all principal bonded indebtedness of the City whether such interest accrues are evidenced by ~atured coupons, accrued interest on bonds, after ~aturity, or partial accrual of interest for less than a six m~nths period to January l, 1942, on bonds which bear interest payable other than on January 1, ~nd June l, or~: any or a~l such items. In effectuating such exchanges the Bank shall prooeed ~n the following ~.nner: (a) Where interest coupons evidence a partial aCcrual of ~terest for less than a six months period, there sha~ be endorsed on the baok ofeaoh suoh oouPon the wor~: ~Interest to January l, 194~, paid through ex- oha~e for Refundtn~ Bond; rent~ning amount paid through interest bond from which this coupon detached. Section 5~ That this resolution shall be oon~idered as supplemental to the provisions~of the aforesaid Refunding Resolution and Amendatory Resolution. Section 6~'~ That the City Clerk and Oollector hereby instructed as follows: (A) To f~rward a certified copy of this resolution to~ether with certified copy of the Re~unding Resolution and of the Amendttory Resolution, to the said Bank for Attention of Trust Department, which instruments shall constitute the authority of t]ie Bank to do and perform any and all acts and thin~s necessary to accomplish ig~e purpose herein expressed; (B) To r~it to the Trust Department of etid Bank the requisite amount of funds to ta~e dare of the Payments provided to be made by said Bank as referred to in ~ection 4 of this resolution; (0) To f~ard remittances to the Coupon Payin~ Division of the desi~- nttin~ paying a~ent named in the Refunding Bonds, at the tpprol)riate time or times, of the rleoessary and proper amounts of funds to provide for ~aynent of of interest co~lPonn maturir~ January 1 1944, and semi-annually thereafter, upon all.
