PROCLAMATIONS AND PRESENTATIONS — Mayor Pro-Tempore A. Proclaim the week of May 15 through 21, 2016, as "National Public Works Week." In the absence of Mayor Kirk and there being no objections, Council Member Watford, serving in the capacity of Mayor Pro-Tempore, called the May 17, 2016, Regular City Council Meeting to order at 6:00 P.M. The invocation was offered by Father Shevlin of the Church of Our Saviour; the Pledge of Allegiance was led by Mayor Pro-Tempore Watford. On behalf of the City, Mayor Pro-Tem Watford and Chief Davis presented to Mrs. Kelley Margerum an embossed leather portfolio and a framed certificate which read: "In recognition of your 10-years of service, hard work, and dedication to the City, its citizens, and your fellow employees as a Police Officer and Detective from May 17, 2006 to May 17, 2016." On behalf of the City, Mayor Pro-Tem Watford and Chief Davis presented to Mr. William (Bill) Saum a check in the amount of $1,000.00 and a framed certificate which read: "In recognition of your 35-years of service, hard work, and dedication to the City, its citizens, and your fellow employees from April 24, 1981 to April 24, 2016." Mayor Pro-Tem Watford asked whether there were any additions, deferrals, or withdrawals on today's agenda. There were none. Motion and second by Council Members O'Connor and Ritter to dispense with the reading and approve the Summary of Council Action for the Regular Meeting of May 2, 2016, There was no discussion on this item. Discuss Motion to approve a proposed Mural for the new Taco Bell location on East North Park Street, submitted by Okeechobee Main Street Arts and Culture Committee — Jayce Fitzwater, Main Street Executive Director (Exhibit 1). B. Motion to approve an agreement to piggyback a contract for services by another governmental entity for mosquito spraying — City Administrator (Exhibit 2). C. Consider a motion to waive the formal bidding procedures and award a sole -source purchase in the amount of $11,631.00 to Stewart Signs to replace the City Hall Municipal Sign with a LED Display Sign — City Administrator (Exhibit 3). COUNCIL ACTION - DISCUSSION — VOTE Council Member O'Connor moved to approve Okeechobee Main Street's (OKMS) proposed Mural No. 6 for the new Taco Bell to be located at 511 East North Park Street; seconded by Council Member Ritter. OKMS President Maureen Burroughs was present and explained the standard on all Taco Bell restaurants is to use the shape of the state in which the business is located. However, they graciously agreed to the request of using the shape of Lake Okeechobee and adding the slogan, "The Crossroads of South Florida." VOTE: KIRK - ABSENT CHANDLER - YEA O'CONNOR - YEA RITTER - YEA WATFORD - YEA MOTION CARRIED. Motion and second by Council Members O'Connor and Chandler to approve an Agreement to Piggyback a Contract (with Clark Environmental Mosquito Management, Inc. RFP No. PWD/15-026 Mosquito Control Services) for Services by another Governmental Entity (City of Ocala), in the amount of $3,467.15. The contract's scope of services includes creating a computer system and record keeping database for future purposes, public relations and educational brochures, mosquito hotline for citizen response, program consulting and quality control staff, monthly operational reports, periodic advisories, and an annual report. It also provides regulatory compliance on local, state, and federal levels, and a one-time community -wide truck ULV treatment (spray) of up to 85 route miles of streets using Biomist or synthetic pyrethroid insecticide. It also provides an automatic renewal clause after the initial term of December 31, 2016, for future use when deemed necessary by the Council. VOTE: KIRK - ABSENT CHANDLER - YEA O'CONNOR - YEA RITTER - YEA WATFORD - YEA MOTION CARRIED. Council Member Ritter moved to waive the formal bidding procedures and award a sole -source purchase to Stewart Signs (of Sarasota) to replace the City "Municipal Centre" sign with a (3-foot by 5-foot, single -sided full color) LED Display Sign in the amount of $11,631.00 (includes shipping); seconded by Council Member O'Connor. The sign is capable of displaying one to six lines, lines being 5.5 to 37.8 inches tall with up to 23 characters per line, depending on font size. The Administrators office will be responsible for maintaining the messages on the sign. At the December 15, 2015, Regular City Council Meeting, the 2014 Chamber of Commerce Leadership Class received approval from the Council to erect a sign in the City Hall Park (Park P of FLAGLER PARK) listing all the local civic organizations. The sign could not be erected until the completion of the Florida Department of Transportation State Road 70 Roadway Improvements Project. The Leadership Class raised funds to cover the costs of construction by selling t-shirts. This sign will not be constructed and the funds are now going towards the construction cost of a new City Hall sign located by the flag poles (Northwest corner of Park A of FLAGLER PARK). 6qz MAY 17.2016 - REGULAR MEETING - PAGE 4 OF 4 AGENDA VIII. Watford, Jr., M'4Xr Pro-Tempore Lane Gamiotea, CMC, City Clerk COUNCIL ACTION - DISCUSSION — VOTE Administrator MontesDeOca assured the Council the sign will comply with all City Ordinances and the intended use is to advertise City and community events. He distributed an expense report providing cost details for the Centennial Commemorative Walkway Project and how a portion of these funds, along with the contribution for the Chamber Leadership Class, will be used to pay for the sign. Exhibit 3 included a rendition of the new sign, displaying the words "Welcome to the City of Okeechobee, Est. 1915," the City Seal, and the OKMS Seal. This sign is designed similar to the welcome signs at the City Limits. Mayor Pro-Tem Watford thanked Mr. Frank DeCarlo, who was in attendance on behalf of the Chamber Leadership Class, for their contribution towards this project. Administrator MontesDeOca's employment services contract provides for an annual evaluation of his employment performance by the Mayor and Council. Mayor Pro-Tem Watford received the evaluations and calculated an average score of 4.6 out of 5.0. Administrator MontesDeOca thanked the Council for their confidence in him. The evaluations were forwarded to the City Clerk for final processing and retention. The positive review allows eligibility for the Salary Step Increase on his anniversary date October 1, 2016, in addition to the 2.5 percent cost of living (COLA) increase approved for all employees, implemented October 1, 2015. The term of the current contract expires September 30, 2017. As provided in Attorney Cook's employment services contract, each year the Mayor and Council Members complete an evaluation on his employment performance. Mayor Pro-Tem Watford received the evaluations and calculated an average score of 4.2 out of 5.0, and thanked Attorney Cook for the service he provides to the City. Attorney Cook thanked the Council for their confidence in him. The evaluations were forwarded to the City Clerk for final processing and retention. The positive review allows for the contract to renew for another year. The contract provides basic payment to be increased annually at the same percentage increase as general employee pay increases. During the Fiscal Year 2015-16 budget adoption, the Council approved a 2.5 percent across the board COLA increase, therefore, Mr. Cook's annual compensation was increased the same. OKMS President Maureen Burroughs, all taco bells do the same thing, asked them to use the lake instead with the OKMS slogan and they agreed. Watford, several companies that do this, one that was recommended by Charlie Norris. When will we spray? MDO will coordinate with them May 18, will request soon. Watford, is this the price $3,467.15 is for 1 time spraying. Yes. Plus the GIS mapping for future purposes. Motion and second by Council Members Ritter and O'Connor to waive the formal bidding procedures to award a sole -source purchase in the amount of $11,133.00. MDO one project been keeping you apprised of, will be a project with the city, chamber and leadership class, and centennial funds. Watford missed the information that we will be doing an LED sign. We have policies on these and we need to be assured we keep with the city regulations. Watford what kind of events? MDO community events, approved items by the city. Watford, thank the administrator for the breakdown of the centennial funds given to us tonight and we have the funds to cover these. Thank the leadership class for their contribution. City expressly acknowledges the Vendor is an independent contractor, and nothing in this Agreement is intended nor shall be construed to create an agency relationship, an employer/employee relationship, a joint venture relationship, or any other relationship allowing the City to exercise control or discretion over the manner or method by which Vendor performs hereunder. 6. ACCESS TO FACILITIES. City will provide Vendor with access to the Facilities so as to permit Vendor to meet its obligations hereunder. 7. INDEMNITY. Vendor shall indemnify City and its elected officials, employees and volunteers against, and hold City and its elected officials, employees and volunteers harmless from, all damages, claims, losses, costs, and expenses, including reasonable attorneys' fees, which City or its elected officials, employees or volunteers may sustain, or which may be asserted against City or its elected officials, employees or volunteers, arising out of the activities contemplated by this Agreement including, without limitation, harm or personal injury to third persons during the term of this Agreement to the extent attributable to the actions of Vendor, its agents, and employees. 8. VENDOR REPRESENTATIONS. A. The Vendor has examined and carefully studied the Contract Documents and the other related data. B. The Vendor is familiar with and is satisfied as to all Federal, state, and local laws and regulations that may affect cost, progress, and performance of the Work. 6 CONTRACT# PWD/15-026 C. The Vendor does not consider that any further examinations, investigations, explorations, tests, studies, or data are necessary for the performance of the Work at the Contract Price, within the Contract Times, and in accordance with the other terms and conditions of the Contract Documents. D. The. Contract Documents are generally sufficient to indicate and convey understanding of all terms and conditions for performance and furnishing of the Work. 9. SAFETY/ENVIRONMENTAL. Vendor is responsible at all times for precautions to achieve the protection of all persons including employees and property. The Vendor shall make special effort to detect hazardous conditions and shall take prompt action where necessary to avoid accident, injury or property damage. EPA, DEP, OSHA, and all other applicable safety laws and ordinances shall be followed as well as American National Standards Institute Safety Standards. All hazardous spills, accidents, injuries or claims or potential claims shall be reported promptly to the City Risk Management Department. M ADDITIONAL INSURED. The "City of Ocala" shall be added to all third party coverage required by and provided for this contract as an "ADDITIONAL INSURED," but only to the extent of the risk obligations assumed hereunder by Vendor. 11. MISCELLANEOUS INSURANCE PROVISIONS. A. Severability of Interests. Vendor shall arrange for its liability insurance to include, or be endorsed to include, a severability of interests / cross liability provision, so that the "City of Ocala" (where named as an additional insured) will be treated as if a separate policy were in existence, but without increasing the policy limits. B. Insurance Requirements. These insurance requirements shall not relieve or limit the liability of the Vendor. The City does not in any way represent that these types or amounts of insurance are sufficient or adequate to protect the Vendor's interests or liabilities, but are merely minimums. No insurance is provided by the City under this contract to cover the Vendor. C. Duplicate Coverage. 3 CONTRACT# PWD/15-026 1. Insurance required of the Vendor or any other insurance of the Vendor shall be considered primary and insurance or self-insurance of the City shall be considered excess, as may be applicable to claims against the City which arise out of this contract. 2. Insurance written on a "Claims Made" form is not acceptable without City of Ocala Risk Management consultation. 3. No work shall be commenced under this contract until the required Certificate(s) have been provided. Work shall not continue after expiration (or cancellation) of the Certificate and shall not resume until new Certificate(s) have been provided. D. Deductibles. Vendor's deductibles/self-insured retentions shall be disclosed to the City and may be disapproved by the latter. They shall be reduced or eliminated at the option of the City. The Vendor is responsible for the amount of any deductible or self- insured retention. E. Certificates. Vendor shall provide a Certificate of insurance, issued by an agency authorized to do business in the State of Florida and with an A.M. Best rating* of at least A, showing the "City of Ocala" as an Additional Insured. The City of Ocala, Procurement Department, 110 SE Watula Ave, Ocala, FL 34471 should be shown as the Certificate Holder. Renewal certificates must also be forwarded to the Procurement Department prior to the policy expiration. Ten (10) days written notice must be provided to the City of Ocala's Procurement Department in the event of cancellation. *Non -rated insurers must be pre -approved by the City Risk Manager F. Failure to Maintain Coverage. In the event that Vendor shall fail to obtain or maintain in full force and effect any insurance coverage required to be obtained by Vendor under this agreement, the City may procure same from such insurance carriers as the City may deem proper, irrespective that a lesser premium for such insurance coverage may have been obtained from another insurance carrier, and Vendor shall pay, upon demand of the City, and all premiums, costs, charges, and expenses incurred or expended by the in obtaining such insurance. Notwithstanding the foregoing sentence, in the even the City procures the insurance coverage required of Vendor hereunder, the City shall in no manner be liable to Vendor for any insufficiency or failure of 4 CONTRACT# PWD/15-026 coverage with regard to such insurance or any loss to Vendor occasioned thereby, and additionally, the procurement of such insurance by the City shall not relieve Vendor of its obligations under this Agreement to maintain insurance coverage in the types and amounts herein specified, and Agency shall nevertheless hold the City harmless from any loss or damage incurred or suffered by the City from Vendor's failure to maintain such insurance. 12. LIABILITY INSURANCE. General liability insurance, with combined single limits of not less than $1,000,000 per occurrence shall be provided and maintained by the Vendor. The only aggregate limit acceptable is a "project aggregate" and the Certificate must show an appropriate endorsement (ISO CG2501 or equal). A. If the Commercial General Liability form is used: 1. Coverage A - shall include premises, operations, products and completed operations, independent contractors, contractual liability covering this contract and broad form property damage coverage. 2. Coverage B - shall include personal injury. 3. Coverage C - medical payments, is not required. B. If the Comprehensive General Liability form is used, it shall include at least: 1. Bodily Injury and Property Damage liability for premises, operations, products and completed operations, independent contractors, and property damage resulting from explosion, collapse or underground (XCU) exposures. 13. BUSINESS AUTO LIABILITY. Business Auto Liability insurance shall be provided by the Vendor with combined single limits of not less than $1,000,000 per occurrence and is to include bodily injury and property damage liability arising out of operation, maintenance, or use of any auto including owned, non -owned and hired automobiles and employee non -ownership use. 14. WORKERS' COMPENSATION. Vendor shall purchase and maintain Workers' Compensation insurance for statutory requirements and employers liability limits of at least $1,000,000 each accident and $1,000,000 each employee, $1,000,000 policy limit for disease, and shall be responsible for ensuring that any 5 CONTRACT# PWD/15-026 subcontractor has statutory coverage. City need not be named as an Additional Insured, but a subrogation waiver endorsement is required. 15. RELATIONSHIP OF PARTIES. Neither this Agreement, nor any term, provision, payment or right hereunder shall in any way or for any purpose constitute or cause City to become or be deemed a partner of Vendor in the conduct of its business, or otherwise, or to cause City to become or be deemed a joint adventurer or a member of a joint enterprise with Vendor, as City is and shall remain an independent contractor by reason of this Agreement. 16. TERMINATION. If the Vendor defaults in the performance or materially breaches any provision of this Agreement, the City may, at its option, terminate this Agreement by giving written notification thereof to the other party at least thirty (30) days in advance of termination. Termination of this Agreement shall have no effect upon the rights of the parties that accrued prior to termination. 17. DEFAULT. This Agreement is critical to the City and the City reserves the right to immediately cancel either in whole or in part any portion of this Agreement due to failure of the Vendor to carry out any obligation, term, or condition of the Agreement. The City will issue a written notice of default effective immediately and not deferred by any interval of time. Default shall be considered to be any act or failure to act on the part of the Vendor including, but not limited to, any of the following: A. Vendor fails to adequately perform the services set forth in the specifications of the Agreement; B. The Vendor provides material that does not meet the specifications of the Agreement; C. Vendor fails to complete the work required within the time stipulated in the Agreement; and D. Vendor fails to make progress in the performance of the Agreement and/or gives the City reason to believe that the Vendor will not or cannot perform to the requirements of the Agreement. 18. REMEDIES/OPPORTUNITY TO CURE. If Vendor defaults on any provision of this Agreement, City may, at its sole discretion, give written notice to Vendor detailing 0 CONTRACT# PWD/15-026 Vendor's violations and giving Vendor an opportunity to cure the default. If such violation is not corrected to the reasonable satisfaction of City within the time required by the City to cure the default, after the date of notice of violation, the City may, without further notice, declare Vendor to be in breach of this Agreement and pursue any and all remedies available at law or equity, including termination of this agreement without further notice and all rights of vendor hereunder. Notwithstanding City's termination of the Agreement, Vendor shall remain liable to City for damages, costs, or attorney's fees arising prior to such termination. In case of default, the City reserves the right to hire another vendor to complete the required work in accordance with the needs of the City. City may recover any actual excess costs from the Vendor by: (a) Deduction from an unpaid balance or (b) Any other remedy as provided by law. 19. WAIVER. The failure or delay of any party at any time to require performance by another party of any provision of this Agreement, even if known, shall not affect the right of such party to require performance of that provision or to exercise any right, power or remedy hereunder. Any waiver by any party of any breach of any provision of this Agreement should not be construed as a waiver of any continuing or succeeding breach of such provision, a waiver of the provision itself, or a waiver of any right, power or remedy under this Agreement. No notice to or demand on any party in any circumstance shall, of itself, entitle such party to any other or further notice or demand in similar or other circumstances. 20. FORCE MAJEURE. Neither party shall be responsible for damages or delays caused by Force Majeure or other events beyond the reasonable control of the party and which could not reasonably have been anticipated or prevented. For purposes of this Agreement, Force Majeure includes, but is not limited to, adverse weather conditions, floods, epidemics, war, riot, lockouts, and other industrial disturbances; unknown site conditions, accidents, sabotage, fire loss of or failure to obtain permits, unavailability of labor, materials, fuel, or services; court orders; acts of God; acts, orders, laws, or regulations of the Government of the United States or the several states, or any foreign country, or any governmental agency. In the event that Force Majeure occurs, the parties shall mutually agree on the terms and conditions upon which services may continue. 7 CONTRACT# PWD/15-026 21. ASSIGNMENT. Neither party may assign this Agreement or the rights and obligations thereunder to any third party without the prior express written approval of the other party, which shall not be unreasonably withheld. 22. TERMINATION FOR CONVENIENCE. City may at any time and for any reason terminate Vendor's services and work at City's convenience. Upon receipt of such notice, Vendor shall, unless the notice directs otherwise, immediately discontinue the work and placing of orders for materials, facilities and supplies in connection with the performance of this Agreement. Upon such termination, Vendor shall be entitled to payment only as follows: (1) the actual cost of the work completed in conformity with this Agreement; plus, (2) such other costs actually incurred by Vendor as permitted by the contract and approved by City. 23. NON EXCLUSIVITY. Nothing herein is intended nor shall be construed as creating any exclusive arrangement with Vendor. This Contract shall not restrict City from acquiring similar, equal or like goods and/or services, or executing additional contracts from other entities or sources. 24. SEVERABILITY OF ILLEGAL PROVISIONS. Wherever possible, each provision of this Agreement shall be interpreted in such a manner as to be effective and valid under the applicable law. Should any portion of this Agreement be declared invalid for any reason, such declaration shall have no effect upon the remaining portions of this Agreement. 25. NON-DISCRIMINATORY EMPLOYMENT PRACTICES. During the performance of the contract, the Vendor agrees to not discriminate against any employee or applicant for employment because of race, color, religion, ancestry, national origin, sex, pregnancy, age, disability, marital status, familial status, sexual orientation or veteran status and will take affirmative action to ensure that an employee or applicant is afforded equal employment opportunities without discrimination. Such action shall be taken with reference to, but not limited to: recruitment, employment, termination, rates of pay or other forms of compensation and selection for training or retraining, including apprenticeship and on-the-job training. 8 CONTRACT# PWD/15-026 26. PUBLIC ENTITY CRIMES. Vendor on its behalf and its affiliates agrees and affirms that it has not been placed on the convicted vendor list following a conviction of a public entity crime as provided for in Section 287.133(2)(a), Florida Statutes, which states that a person or affiliate who has been placed on the convicted vendor list following a conviction for public entity crime may not submit a bid on a contract to provide any goods or services to a public entity, may not submit a bid on a contract with a public entity for the construction or repair of a public building or public work, may not submit bids on leases or real property to a public entity, may not be awarded or perform work as a Vendor, supplier, subcontractor, or consultant under a contract with any public entity, and may not transact business with any public entity in excess of the threshold amount provided in Section 287.017, for CATEGORY TWO, for a period of 36 months from the date of being placed on the convicted vendor list. 27. Any civil action or legal proceeding arising out of or relating to this Agreement shall be brought only in the courts of record of the State of Florida in Marion County or the United States District Court, Middle District of Florida, Ocala Division. Each party consents to the exclusive jurisdiction of such court in any such civil action or legal proceeding and waives any objection to the laying of venue of any such civil action or legal proceeding in such court and/or the right to bring an action or proceeding in any other court. Service of any court paper may be effected on such party by mail, as provided in this Agreement, or in such other manner as may be provided under applicable laws, rules of procedures or local rules. 32. REFERENCE TO PARTIES. Each reference herein to the parties shall be deemed to include their successors, assigns, heirs, administrators, and legal representatives, all whom shall be bound by the provisions hereof. 33. MUTUALITY OF NEGOTIATION. Vendor and City acknowledge that this Agreement is a result of negotiations between Vendor and City, and the Agreement shall not be construed in favor of, or against, either party as a result of that party having been more involved in the drafting of the Agreement. 34. AMENDMENT. No amendment to this Agreement shall be effective except those agreed to in writing and signed by both of the parties to this Agreement. 35. SECTION HEADINGS. The section headings herein are included for convenience only and shall not be deemed to be a part of this Agreement. 11 CONTRACT# PWD/15-026 36. COUNTERPARTS. This Agreement may be executed in counterparts, each of which shall be an original and all of which shall constitute the same instrument. 37. RIGHTS OF THIRD PARTIES. Nothing in this Agreement, whether express or implied, is intended to confer any rights or remedies under or by reason of this Agreement on any persons other than the parties hereto and their respective legal representatives, successors and permitted assigns. Nothing in this Agreement is intended to relieve or discharge the obligation or liability of any third persons to any party to this Agreement, nor shall any provision give any third persons any right of subrogation or action over or against any party to this Agreement. 38. ELECTRONIC SIGNATURE(S). Vendor, if and by offering an electronic signature in any form whatsoever, will accept and agree to be bound by said electronic signature to all terms and conditions of this agreement. Further, a duplicate or copy of the agreement that contains a duplicated or non -original signature will be treated the same as an original, signed copy of this original agreement for all purposes. 39. ENTIRE AGREEMENT. This Agreement, including exhibits, (if any) constitutes the entire Agreement between the parties hereto with respect to the subject matter hereof. There are no other representations, warranties, promises, agreements or understandings, oral, written or implied, among the Parties, except to the extent reference is made thereto in this Agreement. No course of prior dealings between the parties and no usage of trade shall be relevant or admissible to supplement, explain, or vary any of the terms of this agreement. Acceptance of, or acquiescence in, a course of performance rendered under this or any prior agreement shall not be relevant or admissible to determine the meaning of this Agreement even though the accepting or acquiescing party has knowledge of the nature of the performance and opportunity to make objection. No representations, understandings, or agreements have been made or relied upon in the making of this Agreement other than those specifically set forth herein. 40. CONTRACT DOCUMENTS. The contract documents that comprise the entire Agreement between the City and Vendor are made a part hereof, and are listed as exhibits. During the Limited Warranty Period, the Company will, at its discretion, repair or replace any defective covered product. This Limited Warranty only applies to the Company's Product if installed, used, and maintained in the manner recommended by the Company and this Limited Warranty is conditioned upon compliance with all such instructions. Sign Structure and Sign Face: Under normal use and service, should the sign structure or identification/changeable copy portion of the sign malfunction DURING THE LIFE OF THE SIGN due to defects in workmanship or materials, with the exception of lamps and ballasts, the Company will, at its option, repair or replace any defective materials. Vandalism to Sign Faces: This limited warranty covers polycarbonate faces against breakage due to vandalism DURING THE LIFE OF THE SIGN. Warranty protection does not extend to these surfaces if damaged by gunshots, or when damaged coincident with damage to the sign cabinet. Failed electronic parts or assemblies will be repaired, exchanged or replaced, at the discretion of the Company. Telephone support is provided as needed during the warranty period. Removing and reinstalling repaired or replacement parts is the responsibility of the Owner. Replacement or repaired parts are warranted to be free from defects in material or workmanship for ninety (90) days or, for the remainder of the Limited Warranty Period of the Product they are replacing or in which they are installed, whichever is longer. The Company will repair failed LED pixels if greater than 0.5% (one-half of one percent) of the total number of pixels in the sign have failed in one (1) year, provided the sign is installed with the recommended ventilation system for its location. The definition of pixel failure is when all LED's in the pixel will no longer emit light. Pixel repair is performed at the Company Repair Center. Owner bears the responsibility of transporting the Product to the Company's Repair Center. As known within the Sign Industry, all LEDs degrade and produce less light as they age. Eventually the LEDs will require replacement even though the LEDs will still emit light. This Warranty does not cover normal LED degradation. The Company will make reasonable attempts to repair failed radio components. The Company defines radio component failure as a radio component that does not transmit or receive data properly due to a manufacturer's defect. If the Company, at its discretion, determines a repair is unreasonable, replacement is not included in this Warranty and the third -party manufacturer's warranty will apply. Local site interference or obstructions may cause intermittent or complete failure of radio performance. This Warranty does not include the provision of replacement communication methods (such as wire, fiber optic cable, conduit, trenching or other solutions) for the purpose of overcoming local site interference. The Warranty does not cover electrical work external to the equipment, accessories, alterations, attachments, or other devices furnished by the Company. Batteries and metallic or fiber optic data cables are not covered. Eligibility and Warranty Period: This Limited Warranty is not transferable. Service under this Limited Warranty begins immediately upon shipment to the Customer or the Customer's Authorized Reseller. Unless otherwise stated, the Limited Warranty period is 5 years. Customer Obligations: Failure by the Customer to properly maintain the Product, including but not limited to filters and the ventilation/air conditioning systems, will void coverage for affected components. The Customer shall notify the Company immediately of equipment failure and allow the Company full and free access to the Product when required. Waiver of liability or other restriction shall not be imposed as a site access requirement. The Customer is responsible for all costs and management oversight associated with providing the Company access to the Product, providing the necessary tools, machines, communication facilities and other equipment at no charge. Exclusions and Restrictions: The Company reserves the right to restrict service, limit replacement parts or invalidate this Limited Warranty to Customers whose account balance is past due. This Limited Warranty specifically excludes any on -site labor required to service the covered Product including diagnosis, removal and installation of parts or products. Any on -site service required by the Customer of Company technicians or a local Authorized Service Provider is billable to the customer based on an agreed upon written quote. This Limited Warranty does not apply to software. Software is covered by a separate Agreement, which appears in the seller's software license agreement. This Limited Warranty does not apply to any third -party hardware products or software, even if packaged or sold with the Company's Product. Manufacturers, suppliers, or publishers, other than the Company, may provide their own warranties to the end -user purchaser, but the Company, in so far as permitted by law, provides their products "as -is". This includes, but is not limited to, electronic ballasts and radio components. This Limited Warranty specifically does not cover the following 1. Third -party communications devices such as wireless devices and modems, except that the Company will facilitate the return of such components to the manufacturer if they are still within the manufacturer's warranty; 2. Product that has been moved from its original installation location or is mounted in a mobile structure; 3. This Limited Warranty specifically does not cover conditions, defects or damage caused by or resulting from the following: 1. Defects caused by non-compliance with Company's instruction manual or any other such instructions; 2. Defects caused by unreasonable or unintended use of Product, improper or unauthorized handling, accident, omission, neglect, vandalism (unless otherwise noted in this Warranty), misuse, physical abuse, installation, use and/or fabrication, and maintenance of the Product by any party other than the Company; 3. Damage not resulting from manufacturing defects that occur while the Product is in the Owner's control and/or possession; 4. Extreme physical or electrical stress or interference; environmental conditions beyond the Company' control such as man-made or naturally occurring corrosives and metallic pollutants; normal wear and tear; inadequate, improper, or surges of electrical power; lightning, floods, fire, acts of God, war, terrorism, or other external causes, including Force Majeure. 5. Unauthorized modification including installation of third -party software on the Product. 6. Product modification or service by anyone other than: (a) The Company, (b) a Company Authorized Service Provider, or (c) Customer's own installation of Company approved parts with instruction from the Company. 7. Computer viruses, Trojan horses, worms, self -replicating code or like destructive code which was not included in the Product by the Company. 8. Products installed with known or visible manufacturing defects at the time of installation. All items returned to the Company must have a Return Materials Authorization (RMA) number, available by using the contact information below. Items received without an RMA number will not be processed and will be returned to the Customer at their expense. For exchange items, the number is included with the shipment of the exchange unit. The defective part must be returned to the Company or the Customer will be charged the price of a replacement part. The Company will provide and be responsible for the cost of shipping parts from The Company to the Customer, with the exception of sign faces replaced due to vandalism. For shipments weighing less than 30 Ibs, the Company will ship in the US/Canada using 2nd day delivery. For shipments over 30 Ibs, or outside the US/Canada, the Company will ship out using ground delivery or service of its choosing. Expedited delivery is available to the Customer at their expense. The Customer will provide and be responsible for the cost of shipping parts to The Company. Service to a damaged or malfunctioning sign which has not been ordered or authorized by the Company's Customer Support Department is not only not covered under this warranty, but also will immediately and automatically invalidate this warranty. Removing and reinstalling any and all repaired or replacement parts are the responsibility of the owner. Warranty claims must be registered with the Company within thirty (30) days of damage or malfunction. To register a claim, the Customer must contact the Company at the location specified below, providing your name and any other required contact information, a description of the Product, date of Product purchase, and nature of the defect, which may include, but is not limited to, written descriptions, photographs, video, defective parts or other evidence. The Company reserves the right to require proof of original purchase (e.g. paid invoice, receipt) and to visit the site of the installation or to require documentation of the claim before assuming any responsibility under the provisions of this warranty. Title to the Product passes to the Buyer upon the Company's delivery to the freight carrier. Loss or damage to the Product when in possession of the freight carrier is the responsibility of the Customer, and the freight carrier is not covered by this warranty. Upon delivery, incidental blemishes and scratches are considered normal unless they can be viewed from 20 feet or more under normal use conditions. The Company assumes no liability for damage caused by careless handling or poor installation except for work completed by employees or agents of the Company. In the event the Product is damaged during shipping, it is the responsibility of the Buyer to refuse delivery, causing the Product to be returned to the manufacturer for repair. Any information or suggestion by the Company with respect to the Product concerning applications, specifications or compliance with codes and standards is provided solely for your convenient reference and is made without any representation as to accuracy or suitability. The property is currently occupied on the first floor, with the landowner intending to remodel the second floor for use as a residential apartment. Initially, the building official was seeking a finding by the code board that the building was structurally unsafe for occupation, with a revocation of use as that is authorized in the building codes. However, at the hearing, and later corroborated by the landowners engineer, a letter from the engineer offered an opinion that the structure was not a life safety threat, as "currently being used". He did concede that the building need significant repairs in order for the second floor to be utilized. His opinion concluded that he could not state that the building was constructed properly or met current building codes. The landowner plans to have her engineer complete a structural integrity inspection of the building, and prepare plans to submit to the city concerning necessary structural repair, by mid -June. The question now posed is, in light of this information, should code violation 16-0014 be dismissed. The landowner should understand that the city building official is not going to issue a permit for use of the second floor without engineered plans and a course of repairs to meet current building codes; on the other hand, it appears that the structure, which may or may not meet code, is of sufficient integrity to continue its current use on the first floor. That does not mitigate the opinion of both engineers that the second floor, both internally and externally, needs significant repair in order to obtain a building permit, and come up to code. By inference then, it can be concluded that the use of the second floor at this time would be unsafe in its present condition. As opposed to dismissing the violation, the appropriate course would be that the violation be abated pending receipt and review of the landowners plans to correct the issues pertaining to the second floor use. If the landowners engineer then eventually advises us that with the repairs the entire building is a safe structure that meets code, we can dismiss the violation at that time.
