Consent Agenda 1. Request Approval of September 15, 2006 Board Meeting Minutes. 2. Request Approval of Treasurer's Report as of September 30, 2006. Motion was made by Phil Wickstrom and seconded by Jane O'Connor to approve the consent agenda. The motion was unanimously approved. (Not on Agenda) Mr. Litton presented plaques to Freddie Carino and Lester Baird in appreciation of their service on the Board of Directors. Regular Agenda 3. Executive Director's Report A. Report on Hurricane Losses — Mr. Furry recapped hurricane claims to date: Charley — 72 claims open, $36 million paid to date, $42 million in reserves Jeanne — 36 claims open, $5.8 million paid to date, $7 million in reserves Wilma - 64 claims open, $8.5 million paid to date, $18 million in reserves Excess insurance carriers from Hurricane Charley received $5 million in subrogation on a DeSoto County claim for the Turner Center from the original architect, engineer and builder due to code issues when the building was constructed. B. Review of Action Taken at the 9 -15 -06 Board Meeting — As several items at the September Board Meeting dealt with the renewal process, the Executive Director revisited the action taken to ensure understanding. A By -Laws change was made to allow the option to purchase aggregate excess insurance. The Board then approved not to purchase aggregate excess of Loss Fund insurance. Approval was given to restrict surplus funds to protect the Loss Fund by not buying excess loss fund insurance. Board approval was granted to use surplus funds to help members carry premiums from the 1011/07 period to the 3/30/08 period. Don Roper was appointed as General Counsel and the contract for the Insurance Advisor was renewed. C. Request Board Approval to Utilize Surplus Funds to Offset Total Cost of Property Premiums — At the September Board Meeting, the consensus was to use $2 million from surplus to offset the total cost of property premiums, however, the formality of an action vote was not taken. For the record, formal approval is needed. Jeff Sutton made a motion to approve the use of $2 million from surplus funds to offset the total cost of property premiums. Mike Sheppard seconded the motion, and it was unanimously approved. D. Termination of Arthur J. Gallagher Brokerage Service Agreement — The Executive Director advised that the service level at A. J. Gallagher has not remained at the high level that has been expected and a change in corporate culture indicates that PRM would be better served to move in another direction. He cited examples on the diminishing service and the failure to timely produce the coverage document or 2 other policies, as well as the lack of involvement and /or building a relationship from management. He and the Executive Committee on a 4 to 1 vote recommended issuing a 90 -day written notice to A. J. Gallagher to terminate the brokerage service agreement. Dave Marcus, Regional Vice President for Gallagher, advised that AJG was committed to providing PRM with the highest level of service and asked members for their support. Much discussion followed. A memorandum dated 12 -7 -06 to Ross Furry from Freddie Carino outlining Highlands County's position on the proposed actions was distributed to Board members by Mr. Carino. The Highlands County memo indicated that members were given inadequate time to consider recommended actions; requested facts, in writing, supporting the recommendations [Item #3]; requested additional information on the new brokerage firm [Item #4] ; and recommended PRM issue Request for Qualifications (RFQ) for competitive bids on brokerage services [Item #5]. Members participated in discussion on the item. Frank Gilbert made a motion to table the issue of giving notice to Arthur J. Gallagher and authorize the Executive Director to provide a written plan of action to Arthur J. Gallagher requesting certain deficiencies be corrected with appropriate time - frames. The Executive Director to provide information as requested in Items #3, 4, & 5 of the Highlands County memo. The motion was seconded by Mr. Carino. An appropriate time -frame was discussed and Nancy Beelman requested that all members receive copies of the written documentation from the Executive Director. Mr. Gilbert amended the motion to authorize the Director provide copies of plan of action to all Board Members within an appropriate time -frame of the current contract period. Mr. Carino seconded the amended motion. When discussion began again, Mr. Carino called for the question with Robert Giesler seconding the call. The call to cease discussion was unanimously approved. Vote by show of hands was then taken on amended motion. It was approved by a majority vote of 18 aye, 13 nay. E. Appointment of World Risk Management, L.L.C. for Insurance Brokerage & Risk Management Services — Since Item D was tabled, this item was not discussed. 4. Insurance Advisor's Update A. Property Coverage 10/1/06 — Mr. Tobey reviewed property coverage renewed on 10/1/06. Limits were reduced to $200 million for all perils and $100 million for named windstorm with the deductible increasing from 2% to 5 %. He referred to the allocation policy, which explains the 3 equitable distribution of funds in the event of a named windstorm loss in excess of limits. Mr. Tobey will travel to Atlanta in January to meet with property markets and then provide a recommendation to the Executive Director on whether to proceed on pursuing property coverage for April 1. 5. Broker's Report A. Overview of Renewal Terms & Conditions — Mr. Cooper reviewed changes occurring with this year's renewal. An 18 -month renewal was negotiated for all lines of coverage except property. Attempts will be made to get the property renewal to April 1, 2007. The carrier for the coverage document was changed from BRIT to Munich Re America. Terrorism coverage was included in the coverage document for the first layer of property, liability, and Workers' Compensation. Windstorm deductible on property coverage increased to 5 %. This is a per building deductible. Margin clauses were added this year. Flood coverage was lowered to $40 million. B. Carrier Requirements 15 -Seat Passenger Vans — Munich Re America requires policies and procedures in place on how to operate 15 -seat passenger vans due to their high crash and turnover rates. A. J. Gallagher will contact members to ensure their policies and procedures meet the carrier's requirements. Rob Ross advised that PRM has put together a policy and a training program to assist members on the new requirements for 15 -seat passenger vans. Bonnie Mims recommended that members run motor vehicle records checks on their employees at least once a year. ii. Dams — Mr. Cooper advised the carrier is requesting additional information on dams. He will be contacting those members who have dams. Sexual Harassment/Sexual Abuse Policies & Procedures — Sexual harassment coverage is automatically covered in the coverage document, but members may also qualify for sexual misconduct coverage if Munich Re America approves their policies and procedures on sexual misconduct and training practices. A copy of a misconduct/harassment policy that has been approved by the labor attorney is available to members by contacting Ms. Mims at PRM. 4 6. Legal Update A. Renewal of Pinellas County EMS Contract -- Mr. Roper advised that certificates of insurance have been supplied to the Pinellas County Attorney for the municipalities whose EMS contracts expire in 2007. These certificates were very explicit in what was and was not covered. PRM agreed to insure, indemnify, hold harmless and defend both Pinellas County and Pinellas County EMS in any cases in which they are sued because of vicarious liability. However, PRM will not insure, defend, hold harmless, nor indemnify when active negligence is involved. Mr. Roper is available to assist any member with similar issues. 7. Board Member Items With Mr. Baird's departure, an election to fill the opening for Vice Chairperson on the Executive Committee will be held at the Board Meeting on March 9th. Mr. Litton encouraged interested parties to submit their bios to the PRM office. Mr. Litton advised that the PRM Educational Conference will be held at Marco Island on May 16- 17 -18, 2007.
