DISCLOSURES PUBLIC RISK MANAGEMENT OF FLORIDA EXECUTIVE SUMMARY �nil� Wir As a result of the tight insurance market for public entities in the mid 1980's, a group of cities and counties in southwest Florida made an extensive study into the feasibility of establishing a Public Entity Pool for property, casualty, and worker's compensation coverage. Major objectives of the group were as follows: 1. Lower Costs 2. Enhanced Coverage 3. Outstanding Claim & Loss Control Service 4. Stability 5. Self- Governed by members 6. Professional & Timely Service As a result of the study, Public Risk Management of Florida (formerly SFIRMA) was established on October 1, 1987, with eight members. Today PRM maintains those same objectives, meeting each of them with every new policy term. We believe that PRM's continued success and prosperity is largely attributable to the benefits received by its members. Our Executive Summary outlines the various benefits by the members of PRM. 2 PUBLIC RISK MANAGEMENT OF FLORIDA EXECUTIVE SUMMARY BENEFITS 1. INSURANCE COVERAGES The PRM coverage's are designed to meet the needs of the public entity. The basic program has been in place for over twenty (20) years and thousands of entities have been protected under this program. The coverage's are vastly superior to those that are available in the market place. 2. COST EFFECTIVE The PRM program is cost effective for the following reasons: a. The assumption of risk at the low or known loss levels, thus the need to purchase Tess insurance. b. Risk Selection - PRM has a specific territory that we feel offers a less litigious claims environment. In addition, PRM selects members that have favorable loss experience history, and are committed to controlling their losses. This helps the Association to control their insurance costs. c. Emphasis on safety, loss prevention and claims handling by PRM and its members. 3. STABILITY Due to sound management by the Board of Directors, the PRM Executive Director and Arthur J. Gallagher & Co., PRM is very stable financially with secure reinsurance. 4. CLAIMS HANDLING Gallagher Bassett Service, Inc. handles the claims administration. Gallagher Bassett is experienced in handling claims for Florida public entities and Florida Workers' Compensation. They have eight (8) offices staffed with over 250 employees in the State and handle claims for over 150 public entities. The client has input and approval in the claims settlement process and in the selection of defense counsel. 5. GALLAGHER BASSETT INVESTIGATIVE SERVICES Gallagher Bassett Investigative Services offers a range of investigative tools that, employed separately or in combination, create a formidable first line of defense in such high -risk areas as: insurance fraud, embezzlement, theft and other tangible asset losses, personal and asset protection, due diligence, and pre - employment screening. 3 PUBLIC RISK MANAGEMENT OF FLORIDA EXECUTIVE SUMMARY BENEFITS 6. MANAGED CARE PRM contracts with a managed care provider, GENEX, to develop an acceptable Managed Care Program. GENEX provides a network of physicians, hospitals, clinics and ancillary providers. GENEX also provides valuable services such as utilization and peer review, employee education, provider bill audit, as well as encouraging Early Return to Work Programs. 7 DRUG FREE AND SAFETY PROGRAM CREDITS PRM members can receive a Drug Free Workplace credit with an approved Drug -Free Workplace program. This credit is 5% and is applied to the member's loss fund. Members' can also receive an approved Safety Credit. This credit is 3% and is also applied to the member's loss fund. 8. LOSS PREVENTION SERVICES PRM provides on -site Toss prevention services to assist you in setting up safety and loss prevention programs. Our safety consultants are experienced in working with public entities. A list of Toss prevention services provided to each member is included in this proposal. 9. RISK MANAGEMENT SERVICES By joining PRM, the members gain the Risk Management Services provided by the Association. The Executive Director and his staff have over 60 years experience in the Risk Management field. They are able to assist you in your Risk Management activities, including monitoring and reviewing of all contracts, leases, use agreements and certificates of insurance. A Risk Management manual is provided to each member to help you better participate in the program. 10. EDUCATIONAL SEMINARS Educational seminars are provided on a timely basis, focusing on the needs of the public entity sector. PRM also has an Annual Educational Conference featuring the most current "hot topics" in the public entity and insurance arenas. 11. RISK MANAGEMENT INFORMATION REPORTS The Loss reports provided to each member are designed to keep you abreast of claim activity on a monthly basis in a timely and accurate manner. The Toss reports are broken down by type of claim and department to help you monitor your Risk Management program. 4 PUBLIC RISK MANAGEMENT OF FLORIDA EXECUTIVE SUMMARY BENEFITS w7„ 12. SELF GOVERNING BY BOARD PRM is self - governed by its members. Each member has a representative on the Board of Directors and it is the Board that sets the policy for PRM. 13. EMPLOYMENT PRACTICES LIABILITY HOT LINE Pre - Defense Review Service by a recognized law firm for advice and guidelines to prevent possible claims and litigation in labor and employment law issues for Civil Rights Violation(s), Discrimination and Whistle blower Claims. 14. LAW ENFORCEMENT HOT LINE Pre - Defense Review Service on a 24 hour basis for law enforcement related critical incident matters. The primary object is to provide police supervisors with immediate loss prevention including the need for on -scene legal advice on any critical incidents. This service is provided by expert legal counsel on law enforcement matters. 15. APPRAISALS All PRM members are required to have a building /contents appraisal completed every five years. This is done through PRM's designated appraisal service, Valuation Resource Management (VRM), or by the member's own appraisal service. The VRM Appraisal includes a site plan and a color photo of each location. Appraisals are an important tool to assure that the proper limits and coverages are provided on each location. 5 PUBLIC RISK MANAGEMENT OF FLORIDA LOSS PREVENTION SERVICES Public Risk Management of Florida (PRM) recognizes the importance of effective workplace safety & loss prevention activities in reducing workplace losses. In response, PRM offers a wide range of loss prevention services for its members at no cost. The following outline briefly describes the major package of services offered through PRM Loss Prevention Services. RISK ANALYSIS On site risk analysis services are provided for PRM members in an attempt to identify potential loss producing hazards and to assist with regulatory compliance. PRM is Self Governed by its members with each member having an equal vote. The Board of Directors makes ALL decisions. The PRM By -laws do include an initial two -year commitment and a one -year notice thereafter. New members only have the initial two -year commitment. This provision has added coverage availability and rate stability to the association. The Board of Directors must approve all new members. PRM is careful in the selection of new members, which adds to stability of the pool. PRM's territory is limited geographically, which enables PRM to provide the best services and coverage available. PRM has a full -time Executive Director and seven employees to provide you dedicated service. In addition to assisting members in the claims handling, PRM offers complete Risk Management and Loss Prevention services. PUBLIC RISK MANAGEMENT OF FLORIDA REINSURANCE FINANCIAL SECURITY Public Risk Management's (PRM) Reinsurance Program consists of both Specific Excess and Aggregate Excess insurance. Specific Excess Specific Excess Loss Protection is placed to cover large or catastrophic claims excess of $200,000 for Property and Third Party Liability, $250,000 for Workers Compensation and Employers Liability, and $25,000 for Crime. American Reinsurance and Lloyd's of London are the lead re- insurers, providing the first $1,000,000 for Property, $2,000,000 for Third Party Liability, $500,000 for Workers Compensation and $100,000 for Crime. American Re is the second largest re- insurer in the world, and has a dedicated unit to service Public Entities. Safety National Corporation provides Statutory Coverage's above the $500,000 for Workers Compensation and up to $2,000,000 for Employers Liability. Various Property Carriers provide Excess Property Insurance up to a $500,000,000 limit. Aggregate Excess Aggregate Excess Loss Protection is provided to protect its members against adverse loss experience in any given year. Aggregate Excess protection is used upon exhaustion of the member's Loss Fund. This protection is for all lines of coverage. American Re provides aggregate Excess Protection. Protected Self Insurance Program This Specific Excess and Aggregate Excess Reinsurance Program provides the PRM member's Financial Security that makes it the Premier Program of its kind. The Self Insured Retention levels of PRM are conservatively low to offer additional Financial Security for it members. Actuarial Services and Audited CPA Financial Statement Annually, PRM has an Actuarial study conducted on its loss and loss expense reserves. This report is incorporated into an annual Audited CPA Financial Statement. Both the Actuarial study and the Audited CPA Financial Statement have been provided to you previously. PRM fully complies with GASB10 accounting. PRM does not discount loss reserves or take credit in advance of receiving monies for Second Injury Fund recoveries. Interest Earnings and Cash Flow Member Contribution's earn interest for the benefit of the members. Dept. of Financial Services The State has recently issued another series of "hypothetical penalty" letters to self insurers in the state. The letter outlines their audit of a particular month in which a fine could be assessed for untimely payment and/or late submission of medical reports to the state. Gallagher Bassett Services & Genex Services are aware of the mailings and are working closely with the State on implementation of the new regulations. The Division /State has just approved the EDI medical rule effective July 4, 2004 and the rule is now in the test stages with all managed care companies. Gallagher is monitoring this process to assure compliance by all companies that they partner with for managed care. The staff at the Ft. Myers office recently went thru training on the new procedures to assure compliance. Chairperson John Litton called the meeting to order at 10:10 a.m. with a quorum present. Consent Agenda 1. Request Approval of June 10, 2004 Board Meeting Minutes 2. Request Approval of Treasurer's Report as of September 30, 2004 Phil Wickstrom made a motion to approve the consent agenda. Robbie Chartier seconded the motion and it was unanimously approved. Regular Agenda 3. Executive Director's Report A. Report on Losses from Hurricanes Charley, Frances, Ivan & Jeanne — Mr. Furry thanked the staffs of PRM, A. J. Gallagher, and Gallagher Bassett for their support during all four hurricanes. He stressed the importance of having emergency contact numbers for Members and urged Members to keep PRM apprised of any changes. Charley — Currently, we have a reserve of $27.5 million. Hardee County was the hardest hit, looking at $8.5 million in reserves. DeSoto County was next with over $5 million. One building, the Turner Agricultural Center, is a $4.5 million Toss. Punta Gorda is at $5 million which includes the Fire Station and two other buildings that were completely destroyed. Wauchula's losses are at $3 million, Lake Wales $2 million, Avon Park and Fort Meade are close to $1 million with Highlands County at $400,000. Frances — Costs will probably be within the first layer of $1 million. Okeechobee County and Belle Glade reported the highest losses. Ivan — Minor damage only. Jeanne — Reserve at $3.1 million. Pahokee suffered the most damage during Jeanne with losses at $1.8 million. Highlands County had losses of $130,000 and Eustis and Sebring reported losses of $75,000 and $225,000, respectively. A 10- minute slide presentation was shown of the destruction that resulted across the State from all four hurricanes. (Representatives from the City of Tavares entered the meeting at 10:36 a.m.) (out of sequence) C. Members Who Withdrew 2004 — The City of Cape Coral and the Highlands County Sheriff's Department elected to withdraw from the Pool effective 9- 30 -04. Cape Coral was looking for a stand alone program to further their efforts in becoming fully self insured. PRM /Gallagher Bassett will continue to handle their run out claims. D. Members Giving Notice of Intent to Withdraw 2005 — The Hendry County Sheriffs Department and the City of Indian Rocks Beach have given notice of their intent to withdraw in 2005. The notice was submitted by the former Sheriff of Hendry County. The current Sheriff has been with the PRM program in the past and indicates he may wish to continue with the Pool. The City Council for Indian Rocks Beach has taken the position to annually obtain quotes. The notice from Indian Rocks Beach is the third notification in four years and was received a month late due to an oversight. Article 4.3 of the By -Laws provides the Board with authority to refuse membership to Indian Rocks Beach. Mr. Furry recommended this action not be taken. Indian Rocks Beach has been a good member and does not incur high losses. There was no action taken by the Board on this matter. B. TRIA Coverage — With the cancellation of the August 13th Board Meeting due to Hurricane Charley, members were unable to vote on the offering of TRIA (terrorism) coverage. The Broker polled the 2 members and a majority voted to accept TRIA for the 2004/05 coverage year. Other Items Discussed but not shown on agenda: PIP Subrogation — Staff is working on an appeal to overturn a court decision which may have a significant impact on the Pool with regards to subrogation. The courts are interpreting City /County dump trucks and panel trucks to be commercial motor vehicles and have ruled that City /County truck drivers can go to their PIP carrier to claim benefits. The carrier is then subrogating against PRM and other Pools, which has also been upheld by the courts. We are lobbying to appeal this decision as it is in direct conflict with language that states governmental vehicles are exempt from subrogation. Multiple Parties Involved in a Lawsuit — When settlement has been reached with one party, but not the remaining parties in a lawsuit, the courts have indicated we have a "good faith duty" not to settle with any one singular party without giving due consideration and fairness of the other parties to settle. Employee Tools in Excess of $5000 — PRM covers losses on employees' tools, but values in excess of $5000 need to be scheduled. Members were reminded to provide a list of these tools to ensure coverage. Police Liability Seminar — The seminar, presented by the Walsh & Makholm Law Firm, was held in Clewiston with good attendance. This was the second Police Liability Seminar held in 2004. National PRIMA Conference — The PRIMA Conference will be held in Milwaukee, Wisconsin, June 5th through the 8th. With money received from the excess carriers for loss prevention, PRM is again offering scholarships to the conference. The application deadline for PRM scholarships is March 15th. Members were also encouraged to apply for PERI (Public Entity Risk Institute) scholarships before the February 18th deadline. Annual PRM Conference — The Conference will be held at the Hilton Beach Resort on Marco Island from June 15th through June 17tH Property Appraisals - Judy Hearn reported on the importance of accurate property appraisal information. She noted our dissatisfaction with the current property appraisal company, Maximus, and indicated that we will be changing companies within the next year. A cost increase is expected from whoever is selected for the contract. Ms. Hearn advised that a memo was mailed this week asking members to update their Insurance Value Report and return to the PRM office by January 14th. Performing this task now will allow the appraisal company to incorporate any changes before issuing their trended report for 2005. 4. Broker's Report Glenn Tobey introduced Karen Hawkins, Senior Client Service Representative, as a new member to the PRM team from their office. Also recognized was Steve Baumgartner from the City of Brooksville, a new member to the Pool effective 10 -1 -04. Mr. Tobey discussed areas impacting the insurance industry, specifically the Attorney General's investigation of Marsh, Inc. The Florida State Attorney has subpoenaed the top ten brokers in the State and Mr. Tobey is confident that A. J. Gallagher will perform well through the investigation process. In another matter, a decision by the courts was made to consider the World Trade Center as two separate losses. This will be a significant impact on the insurance industry. A. Review of Coverage & Program Structure At the June Board Meeting, the Pool decided to accept the BRIT package policy for the 2004 -05 year. The broker was able to bind the excess property coverage at a 32% reduction just six days before the first hurricane struck Florida. Mr. Tobey cautioned members on believing newspaper articles, which are speculating on next year's rates. He assured members that A. J. Gallagher will strive to maintain favorable pricing. For this year's renewal, only four members received an increase over 10% due to heavy losses. He stressed the importance of loss prevention in reducing losses. The loss fund increased 4 %. TRIA coverage was purchased including $10 million in property and $2 million in liability. Workers' Compensation is still trending upward. The actual WC rate increased 14 %. Mr. Tobey will be in Tallahassee to discuss the PIP issue on Tuesday, December 14th B. Discussion on Appraisals The broker is reviewing an appraisal program developed on the West Coast with the possibility of purchasing the rights to use the system. Mr. Tobey reiterated the significance of appraisals as adjusters use these values in determining property loss claims. C. 2005 Educational Conference Members were asked to submit suggestions in the next month for the PRM Educational Conference to be held in June. One idea being considered is holding separate break -out sessions for various positions, such as City Council and Administrators, Finance, etc. 4 Mr. Baird requested a bullet sheet, comparing the PRM program with Cape Coral's new program. The broker will provide this information. 5. Legal Update Jeffrey Weiss reported on sovereign immunity. Florida Statute 768.28, entitled Limited Waiver of Sovereign Immunity, allows public entities to be sued, but on a limited basis. Over the past several years, this Statute has been eroded by District Appeals Courts on tort claims. He explained discretionary versus operational type issues. For example, the decision to install a stop sign at an intersection is considered discretionary and would generally be immune from a lawsuit. However, it becomes an operational issue if the stop sign falls down, causing accidents, thereby allowing claimants the right to sue. In reviewing the United States Supreme Court decision in Pollock et al v. FDHP et al, Mr. Weiss stressed the significance of this case as it reversed the trend of eroding sovereign immunity protection for governmental entities. 6. Board Members Items A. Motion was unanimously approved. Responding to Mr. Baird's inquiry on TRIA, the broker explained that an act of terrorism must be certified by the Secretary of the Treasury. It must be a violent act or an act that is dangerous to human life, property or infrastructure. It must have resulted in damage in the United States or insured under U. S. regulation. The act must be committed by a foreign person or on behalf of a foreign interest. It must produce property and casualty losses in excess of $5 million. Mr. Baird then inquired how close the vote was on accepting the purchase of TRIA coverage this year. Two favorable votes secured the majority approving the purchase. The major difference from purchasing TRIA coverage this year and rejecting it last year was that the price was down and the coverage was higher. Mr. Carino inquired if the vote had been recorded. The vote is documented and available for review upon request. Mr. Weiss advised the Board that there is no need to ratify the vote. Kelly and Stephen Morgan (the Morgans) appeal the trial court's order dismissing their personal injury action with prejudice as a sanction after the trial court found that the Morgans had attempted to perpetrate a fraud on the court. The trial court's dismissal resulted in entry of a final judgment in favor of defendants Michael Campbell, Stephen Albaugh, Jennie Ohlsen, and Allen Ohlsen (the defendants). We affirm. The Morgans sued the defendants for personal injuries allegedly arising out of a July 1996 auto accident. The parties engaged in extensive discovery in preparation for trial. In her deposition, Kelly Morgan denied that she had ever experienced neck or low back pain before the accident. While she testified at deposition that Dr. Merritt, a chiropractor, had given her preventative treatments for scoliosis six to eight times over a two -year period, she denied that Dr. Merritt had treated her for neck or low back pain and denied ever seeing any other chiropractor. During her independent medical evaluation, Kelly Morgan again denied that Dr. Merritt had ever treated her neck. Despite this unequivocal testimony at both her deposition and her independent medical evaluation, the facts established at the evidentiary hearing on the defendants' motion for sanctions were that Dr. Merritt had treated Kelly Morgan sixteen times between June 1992 and August 1995 based on her complaints of both neck and low back pain. The facts further established *253 that Kelly Morgan sought treatment from another chiropractor in 1991. At the end of Page 2 the evidentiary hearing, the trial court found: [These are not what I would refer to as oversights or simply failed memory, if you will. But it seems to be a whole line of answers that are designed to deceive and outright cover up what the records actually show. I mean, some of these questions are just, you know, pointblank.... I don't know how more clear it can be.... ... [T]he testimony in this case appears to me to be blatantly false. Based on this finding, the trial court dismissed the Morgans' complaint with prejudice as a sanction for their attempt to perpetrate a fraud on the court. See Tri Star Invs. v. Miele, 407 So.2d 292, 293 (Fla. 2d DCA 1981). This power exists because "no litigant has a right to trifle with the courts." Id However, because of the consequences of such a dismissal, this sanction should be imposed only on a "clear showing of fraud, pretense, collusion, or similar wrongdoing." Id [5] Based on the record before us, we conclude that the trial court did not abuse its discretion by imposing an unreasonable sanction. Kelly Morgan's false testimony was directly related to the central issue in the case - whether the accident in question caused her neck and low back injuries. The trial court assessed the credibility of Kelly Morgan's testimony at the evidentiary hearing in light of the record evidence and found her explanations for the discrepancies not credible. The extensive and ongoing treatments reflected in the medical records belie Kelly Morgan's contention that she "forgot" that Dr. Merritt had treated her for neck pain for years before the accident. Her explanation that she did not understand a question about "pain or problems" with her low back to require her to disclose the low back "stiffness" for which Dr. Merritt treated her for years is equally suspect. The Morgans contend that dismissal constitutes an unreasonable sanction in this case because Kelly Morgan was truthful about some matters relating to her low back and because she admitted to some treatment by Dr. Merritt, even if she did not admit the full extent of that treatment. However, as the Fifth District has stated, *254 "[t]he integrity of the civil litigation process depends on truthful disclosure of facts." Page 3 Cox v. Burke, 706 So.2d 43, 47 (Fla. 5th DCA 1998). Revealing only some of the facts does not constitute "truthful disclosure." See Metro. Dade County v. Martinsen, 736 So.2d 794 (Fla. 3d DCA 1999) (reversing jury verdict for the plaintiff and remanding for dismissal of the plaintiff s case because she had not revealed full and complete information to clear and unambiguous questions during discovery despite the fact that the plaintiff provided some truthful information about her treating doctors and was impeached with her misrepresentations and omissions at trial). Myers Tractor Servs., Inc., 765 So.2d 149 (Fla. 1st DCA 2000) (affirming dismissal of case based on plaintiffs false statements during his deposition despite the fact that he filed a belated errata sheet to that deposition in which he corrected his false statements). Kelly Morgan did not conceal the existence of her chiropractor from the defendant; she did misrepresent under oath the nature and extent of her prior treatment. Weekly D1148 (Cite as: 816 So.2d 251) is little question in my mind that twenty -five years ago these circumstances would have given the defense lawyer a wonderful topic for cross - examination, but the case still would have proceeded to trial by jury. The courts have gradually become more willing to use the ultimate sanction of dismissal with prejudice against plaintiffs who play fast and loose with the truth. I am concerned that if judges are permitted to take cases from the jury under these circumstances, the rule should apply equally to defendants. The case law should authorize plaintiffs to obtain orders defaulting defendants on the issues of liability and comparative negligence for the same misconduct that would result in the dismissal of a plaintiffs action.
