The owner(s) agrees to abide to not only the terms and conditions set forth in the above mentioned agreement, but further affirms that, to the best of his /her knowledge, there were or are no irregularities, noncompliance or illegalities associated with the bidding process wherein Clean Sweep & Vac, LLC was awarded the contract. The City of Okeechobee City Council is seeking proposals for limited street sweeping of approximately eleven (11) linear curb miles to be cleaned once a week, approximately fifteen (15) additional linear curb miles will be cleaned once every two (2) weeks, and monthly cleaning of the parking lot located behind City Hall. City of Okeechobee Project No. PW 03- 00 -05 -13 Public Works Department 2 SECTION II PW 03- 00 -05 -13 SCOPE OF WORK STREET SWEEPING 2. Remove from the surface of city streets all sand, paper, glass, litter, grass and other associated debris to the degree and extent associated with current standard of sweeping excellence. 3. Cleaning method shall be at the option of the contractor and my be power - operated equipment, hand - operated equipment or a combination of both. 4. Approximately eleven (11) linear curb miles (shown on the enclosed map in green) will be cleaned once a week, and approximately fifteen (15) additional linear curb miles will be cleaned once every two (2) weeks (shown on the enclosed map in yellow). PARKING LOT CLEANING The current municipal parking lot shall be cleaned once a month (shown on the enclosed map in orange) of all debris, trash, glass, cans, paper, dirt, sand and other refuse either thrown or otherwise accumulated or disposed of in that lot and behind car stops. Cleaning method shall be at the option of the contractor and may be by power - operated equipment, hand - operated equipment or a combination of both. Special Conditions 1. The City of Okeechobee is seeking a five year contract, with the option to renew on an annual basis thereafter, at the same and /or better terms and conditions, for street sweeping services. 2. Bidders may submit such additional information as to their qualifications, experience and expertise as they may feel necessary to establish their level of proficiency in this area. 3. Bidders shall maintain a minimum of one million dollars of liability insurance and appropriate workman's compensation insurance as mandated by the State of Florida. Bidder's shall submit proof of insurance each year while under contract with the City. 4. The City Administrator, or his designee, shall have approval authority over City of Okeechobee Project No. PW 03- 00 -05 -13 Public Works Department 3 all equipment used on City streets and parking lots. The contractor specifically agrees to remove and replace any equipment judged by the City to be poorly operating, excessively noisy or dirty, or in any other meaningful way disturbing to the public welfare or unacceptable of producing a satisfactory street sweeping function. 5. The sweeping equipment employed by the contractor shall be of a type designed as a heavy duty municipal type sweeper. The sweeping equipment shall be equipped with a water system to control dust. The sweeping equipment shall not exhibit an excessive noise level that could disturb adjacent property owners. 6. The contractor will provide the necessary sweeping equipment, operator (s), fuel, oil, and water for sweeping and all other items and supplies required to perform street sweeping operations. 7. The sweeping equipment used in the City shall be equipped with amber warning lights and an arrow board in order that the greatest level of protection is afforded to the traveling public. 8. All sweeping activities shall take place in the same direction as the flow of traffic. Any activities that take place in contrast to the flow of traffic will be considered as traffic hazard. 9. The contractor shall maintain versatility in his /her scheduling that would allow the sweeping at any time that best benefits the work. There will be parts of the work that can best be done in the daytime, other parts that can best be done at night and still others that could best be done in the very early morning hours. The contractor shall submit a proposed schedule to the City of planned work to be done. The City shall maintain the right to change the schedule so the maximum benefit can be achieved. 10. The contractor will notify the City upon completion of a cycle of work and the City agrees to provide inspection of the reported work within at least two (2) working days following the report of work completion. Any work not found to be satisfactory by the City shall be reported to the contractor within the same period. The contractor agrees to finish all work to the satisfaction of the City, at no additional cost, prior to receiving payment for such work. 11. The contractor shall provide the City with a written record, the design of which will be approved by the City, of the pertinent information relating to the activities or each sweeping shift. 12. The contractor shall have a supervisor available at all times who can be contacted by the City and who shall keep the City informed as to the City of Okeechobee Project No. PW 03- 00 -05 -13 Public Works Department 4 contractor's activities. 13. The contractor shall be responsible for the hauling and disposing of all sweeping debris. 14. Bidders are to visit the streets and parking Tots named in these specifications and to take note of any varying degrees of difficulty associated with the work. The contractor is to verify to his own satisfaction the mileage figures appearing in these specifications. The streets and lots, as described, are to be swept for the prices as bid on the proposal pages; whatever the degree of difficulty may be. 15. The contractor is to completely remove from the surface of the street and parking lot areas all sand, paper, glass, litter, grass and other associated debris to the degree and extent associated with current standard of sweeping excellence. Excellence in street sweeping shall be interpreted as a clean median line, free of any visible sand, paper, glass, litter, grass and other associated debris. The City shall be the sole judge as to the acceptability of the cleaning performed by the contractor. When, in the opinion of the City, inclement weather prevents adherence to the regular sweeping schedule for up to two (2) days in a given week, the City may require the areas affected to be swept within two (2) days without interruption of the regular sweeping schedule. 16. In the event a street rehabilitation or improvement project is in progress, that portion of the cleaning cycle will be deleted from the route. The section of the streets deleted may be re- entered at the first scheduled cleaning cycle following completion of the work. 17. Street sweeping service shall be measured for payment by the total number of curb miles. The miles shall be calculated to the nearest one -tenth (1/10) of a mile. The contractor must invoice the City on a monthly basis for the amount of service actually performed. Invoices shall state the area swept by street, number of curb miles and parking lot (s). 18. If any locations are added or deleted from the contract, the rate quoted shall be used to determine the adjusted contract price. The City reserves the right to add or delete locations from this contract at its opinion. 19. Either party shall have the right to cancel the contract upon sixty (60) days written notice. Compliance with any insurance requirements required elsewhere within this Agreement shall not relieve [CONTRACTOR] of its liability and obligation to defend, hold harmless and indemnify the City of Okeechobee as set forth in this article of the Agreement. Nothing herein shall be construed to extend the City of Okeechobee's liability beyond that provided in section 768.28, Florida Statutes. INSURANCE [CONTRACTOR] shall, at its sole cost and expense, procure and maintain throughout the term of this contract, Comprehensive General Liability, Worker's Compensation, and Commercial Automobile Liability insurance, including Employer Liability insurance, with minimum policy limits specified below Combined Single Limits, or to the extent and in such amounts as required and authorized by Florida law, and will provide endorsed certificates of insurance generated and executed by a licensed insurance broker, brokerage or similar licensed insurance professional evidencing such coverage, and naming the City of Okeechobee as a named, additional insured, as well as furnishing the City of Okeechobee with a certified copy, or copies, of said insurance policies. Certificates of insurance and certified copies of these insurance policies must accompany this signed contract. If such CGL insurance contains a general aggregate limit, it shall apply separately to this location /project in the amount of $1,000,000. Products and completed operations aggregate shall be $1,000,000. CGL insurance shall be written on an occurrence form and shall include bodily injury and property damage liability for premises, operations, independent contractors, products and completed operations, contractual liability, broad form property damage and property damage resulting from explosion, collapse or underground (x, c, u) exposures, personal injury and advertising injury. Damage to rented premises shall be included at $100,000. Commercial Automobile Liability Insurance ( CONTRACTORNendor) shall maintain automobile liability insurance with a limit of not less than $1,000,000 each accident for bodily injury and property damage liability. Such insurance shall cover liability arising out of any auto (including owned, hired and non -owned autos). The policy shall be endorsed to provide contractual liability coverage. CITY and CONTRACTOR, in consideration of the mutual covenants hereinafter set forth, agree as follows: Article 1. Work 1.1 The Work is describes as follows: street sweeping of approximately twelve and one half (12.5) linear curb miles to be cleaned once a week, approximately twelve (12) additional linear curb miles will be cleaned once every two (2) weeks, and monthly cleaning of the parking lot located behind City Hall. Article 2. Public Works Director 2.1 . PUBLIC WORKS DIRECTOR as named in the Contract Documents shall mean: The City of Okeechobee's Public Works Director 55 SE 3rd Avenue Okeechobee, FL 34974 Article 3. Contract time 3.1 The effective period for this contract is July 1, 2013 through June 30, 2018 with the option to renew on an annual basis thereafter at the same and or better terms and conditions for street sweeping services. Article 4. Contract Price 4.1 City shall pay CONTRACTOR for performance of the work in accordance with the unit prices listed in the contract documents CONTRACTOR's bid form on a project by project basis. Article 5. Workmanship CONTRACTOR shall in a good workman like manner, perform all work pursuant to the specifications and street sweeping specifications. Should CONTRACTOR fail to provide prudent and competent professional services, in like manner to other providers in the area, and if that failure causes damages, dissatisfaction or unnecessary costs to the CITY, this contract may be unilaterally terminated by the CITY as provided in Article 9 herein, and CONTRACTOR Shall not be entitled to further claims or sums due under this contract. Inspections and Corrections of Work All work by CONTRACTOR will be monitored by the Public Works Director, as listed in the specifications, or as directed by the City Administrator from time to time. Following each weekly service, CONTRACTOR shall notify the contact person in the CITY of completion of each of his or her areas of work for that week The CITY shall inspect the work, and if found that it has not been done satisfactorily, the work will be promptly corrected, at the expense of Article 7. Measurement and payment 7.1 Payment for the work, as further specified herein, shall include compensation to be received by the CONTRACTOR for furnishing tools, equipment, supplies, and manufactured articles, and for labor, operations, and incidentals appurtenant to the items of work being described, as necessary to complete the various items of the work in accordance with the requirements of the contract documents, including appurtenances thereto, and including all costs of compliance with the regulations of public agencies having jurisdiction, including Safety and Health Requirements of the Occupational Safety and Health Administration of the U.S. Department of Labor (OSHA). No separate payment will be made for any item that is not specifically set forth in the Bid Schedule, and all costs therefore shall be included in the prices named in the Bid Schedule for the various appurtenant items of work. 7.2 The total Unit Bid Price for each project shall cover all work required by the Contract Documents. All costs in connection with the proper and successful completion of the work, including furnishings all materials, equipment, supplies, and appurtenances; providing all construction equipment, and tools; and performing all necessary labor and supervision to fully complete the Work, shall be included in the Unit bid prices. All related and necessary work not specifically set forth as a pay item in the Bid shall be considered a subsidiary obligation of CONTRACTOR and all costs in connection therewith shall be included. 7.3 Payment for all work done based on the total number of curb miles calculated to the nearest one -tenth (1/10) of a mile. The CONTRACTOR must invoice the City on a monthly basis for the amount of service actually performed. Invoices shall state the area swept by street, number of curb miles and parking lot(s).. 7.4 The city reserves the right to add or delete areas at the sole discretion of the city. The rate quoted shall be used to determine the adjusted contract price. 7.5 Quantities necessary to complete the work as shown on the Drawings or as specified herein shall govern over those shown in the Proposal or Bid Documents. The CONTRACTOR shall take no advantage of any apparent error or omission in the Drawings or Specifications, and the Public Works Director shall be permitted to make corrections and interpretations as may be deemed necessary for fulfillment of the intent of the Contract Documents. CONTRACTOR's representations In order to induce City to enter into this Agreement, CONTRACTOR makes the following representations: 8.1 CONTRACTOR has familiarized himself with the nature and extent of the Contract Documents. Work locality, weather, and with all local conditions and federal, state, and local laws ordinances, rules, policies, and regulations that in any manner affect cost, progress, or performance of the work. 8.2 CONTRACTOR has given Public Works Director written notice of all conflicts, errors, or discrepancies that he has discovered in the contract documents, and the written resolution thereof by Public Works Director is acceptable to the contract. Article 9. Option to renew 9.1 It is understood that renewal of this contract is subject to availability of funds to the CITY annually, and the rebidding and award of this contract by the CITY Council. Thus, no guarantee express or implied is made as to renewal options under this contract. Article 10. Early Termination Should CONTRACTOR violate any provision of this contract, or if the level of service and performance being provided by CONTRACTOR does not meet the expectations of the CITY after providing attempts at curing such defects, the CITY may cancel this contract upon thirty (30) days written notice to CONTRACTOR without further liability therefore. Article 11. Miscellaneous 11.1 Terms used in this agreement which are defined in Article 1 of the general conditions shall have the meanings indicated in the general conditions. 11.2 No assignments by a party hereto of any rights under or interests in the contract documents will be binding on another party hereto without the written consent of the party sought to be bound, and any such assignment shall be void and of no effect; and specifically but without limitation, monies that may become due and monies that are due may not be assigned without such consent (except to the extent that the effect of this restriction may be limited by law and unless specifically stated to the contrary in any written consent to an assignment, no assignment will release or discharge the assignor from any duty or responsibility under the contract documents. 11.3 City and CONTRACTOR each binds himself, his partners, successors, assigns, and legal representatives to the other party hereto, his partners, successors, assigns, and legal representatives, in respect to all covenants, agreements, and obligations contained in the contract documents. 11.4 CONTRACTOR Upon its part, agrees to protect, indemnify and hold harmless the, its agents, officers and employees, from any and all liability to persons for claims, demands, suits, property damage, personal injuries or omissions of every and any nature of CONTRACTOR, its agents or employees, for performance of its obligations under this contract. It is specifically recognized and agreed that CONTRACTOR Is solely responsible for the manner, time and nature of the performance of its work under this contract, subject only to the terms of the contract, and the specifications which govern the quality of its performance. Thus, it is agreed that CONTRACTOR_is an independent CONTRACTOR in the furnishing of its services, and neither CONTRACTOR or any or its agents, employees or assigns shall ever consider to be an agent, servant or employee of the CITY. 11.5 CONTRACTOR shall provide insurance in as specified in Section VI, Bonding and Insurance Requirements of Request for proposal, City of Okeechobee Street Sweeping PW 03- 00- 05 -13. 11.6 CONTRACTOR agrees that all curbs, improvements, streets or other CITY or third party owned property that is damaged by personnel of CONTRACTOR or their equipment shall be repaired or replaced promptly, at the expense of CONTRACTOR.
