For $10.00 and other good and valuable consideration, receipt of which is hereby acknowledged, the parties agree as follows: That the foregoing recitals are true and correct and constitute the material inducement for this Agreement. 2. That OWNER hereby authorizes CITY to use OWNER'S property for the purpose of training exercises involving the Okeechobee City Fire Department. 3. That to the extent permitted by law, CITY hereby releases OWNER from all liability in connection with 020/0 that certain training exercise to be held on the l' day of f t OWNER' S property. 4. That to the extent permitted by law, CITY shall indemnify and hold OWNER harmless against and from the loss, cost, damage, or expense, including reasonable attorney's fees and other court costs, arising out of any accident, casualty, or other occurrence causing injury to any person or property arising from CITY'S training exercise. 5. That in the event that any claim in writing is asserted by a third party which may entitle OWNER to indemnification, OWNER shall give notice thereof to CITY which notice shall be accompanied by a copy of statement of the claim. Following the notice, CITY shall have the right, but not the obligation, to participate at its sole expense, in the defense, compromise or settlement of such claim with counsel of its choice. If CITY shall fail timely to defend, contest or otherwise protect against any suit, action or other proceeding arising from such claim, or in the event the CITY decides to participated in the proceeding or defense, OWNER shall have the right to defend, contest or otherwise protect itself against same and be reimbursed for expenses and reasonable attorney's fees and, upon not less than ten (10) days notice to CITY, to make any reasonable compromise or settlement thereof.
