As requested, we have provided you with various documents pertaining to
Deighan Appraisal Associates, Inc. in regard to our experience in the field of utility
valuation, and an overall profile, as well as a potential "Scope of the Assignment"
[see attached]. In this regard, as we discussed, I am also enclosing a brief profile of
the Williams, Hatfield Stoner engineering company, whose input we would rely
upon in making the appraisal.
You have requested an estimate of the costs of this assignment. As indicated in the
"scope Williams, Hatfield and Stoner will essentially conclude the amount of
physical depreciation accruing to the Utility, as well as the replacement costs and
costs involved in bringing the system to good /excellent condition. My task is to
identify and quantify the various interest components inherent in the particular
system and to derive a value for the system using current and projected cash flows,
as well as the cost data supplied by the engineers. Please refer to our letter of
October 15, 1992, as well as the "scope of the assignment" provided in our letter of

As we discussed on the telephone, my firm would like to be considered for
performing the appraisal of the City of Okeechobee's Utility System. As you
requested, I have listed, on an attached sheet, the utility systems on which we have
done valuation work. I have also enclosed some background information about
my firm.
Utility valuation requires specialized knowledge and expertise in many areas. My
area of specialty is the valuation itself; when needed, we seek assistance from a
small group of experts whom we have worked with extensively in the past. All of
these consultants, listed on the accompanying pages, have extensive experience
with utilities.
As part of the utility valuation process, we will reconcile the cost of the system,
less depreciation [the asset based components] to the system's actual and potential
cash flows [the revenue components]. As we have an extensive knowledge of
some 300 or so utility systems, which have sold throughout the State of Florida
over the last 20 years, we will consider these transactions as possible indicators of
value of the City's system.
It is my understanding the City's Utility System has about 4,100 connections and
suffers from deferred maintenance items. I will use the engineers to ascertain the
present condition of the system and estimate the cost to rehabilitate the system to
good to excellent condition. Additionally, I will examine the present rate
structure, as well as the history of any rate changes. I will analyze how rates
currently compare with comparably sized systems, and the community's sentiment
for potential rate changes, if warranted. Our analysis will pay particular attention
to the system's current debt loan and its impact on value.

Since that time, Skip Harvey of Williams, Hatfield and Stoner [our consulting
engineers] and I have met with Ben Loftin, Director of Public Utilities for the City of
Okeechobee. Additionally, I have had phone conversations with Frank Marsocci
of the Economic Council.
I have reviewed the document, which you supplied, as well as documents
furnished by Ben Loftins office, regarding the utility (see attached list). I had a
meeting with Ben Loftin, conference calls with Phil Gonat of PMG Associates, Dan
Willard of Knepper Willard, Inc., and Bill Reese of Reese, Macon Associates, to
discuss the status of consulting projects they are currently working on for the City.
Without a formal scope having been established at this time by the County, I have
prepared what I recommend to be the scope of the assignment and associated
methodology. This will aid in formulating a proposal and assist in negotiations
between the City and the County in the matter of the subject utility system.
Please review the attached draft and suggest any clarifications in my
understanding of the assignment. I will be out of town November 9, 10 and 11, but
would like to follow up with you on either the 12th or the 13th. I have faxed a copy
to you so that you will have the information as soon as possible. If you have

Purpose of the Appraisal
The purpose of the appraisal report is to present the data and reasoning the appraiser uses to
estimate the market /investment value of the City of Okeechobee utility property, in fee simple
estate, as of a certain date to be determined by agreement between the County of
Okeechobee and the City of Okeechobee.
Function of the Appraisal
The function of the appraisal assignment is to assist the City of Okeechobee and the County of
Okeechobee in arriving at the value of the various ownership interests inherent in the utility for
negotiatidn purposes in establishing a regional utility authority.
Scope of the Assignment
Property Description: The subject property consists of a water and sewer utility owned by the
City of Okeechobee. The utility has about 4,100 water customers. 1,350 of whom are also
served by sewage treatment facilities.
This system also supplies water to the Okeechobee Beach Water Association. However, the
contract for this purpose expires in 1994.
Water for the system is supplied by a 3.12 -MGD capacity, surface water plant. As a result of a
DER consent order, the City of Okeechobee is in the process of developing. in two- phases. a
groundwater, two -MGD plant. A 0.6 -MGD plant provides sewage treatment.
Components of the system vary in age, ranging from the mid 1920s to the present. .Thus some
of the system's structures are reaching the end of their life expectancy: eg, 250,000 gallon
water storage tanks. Some components are new, or were recently rehabilitated
Scope of the Appraisal /Appraisal Problem: The scope of this assignment is to value the entire
utility system as it currently exists. This involves identification and quantification of various
factors including the various ownership interests inherent in the typical water and sewerage
utility system.
Once the overall system's value has been concluded, estimations /allocations of the value of
the ratepayers' interests (customers) and the City's interest are derived. Included in this
component of valuation are debt and equity allocations, which are identified in the process of
analysis.
Methodology: To arrive at the valuation allocations, the appraisal methodology
involves consideration of the 'three typical, conventional approaches to value: cost, sales
comparison [market], and income capitalization.
Cost Approach: Within the cost approach procedure, both historical /original cost
and replacement cost estimates are reconciled, taking into account the various factors of
depreciation, namely physical deterioration, functional obsolescence and economic
obsolescence.
Sales Comparison Approach:. More than 300 water and sewer utility sales have occurred within
the State of Florida over the last 20 years. This approach is considered, but the uniqueness of
each system causes any meaningful comparison to become unreliable. This approach.
however, can be used as a test of reasonableness in reconciling the results from the other two
approaches.
Income Approach: Most utility systems sell based upon their income characteristics. In
arriving at an ultimate purchase price, most buyers of utility systems look to anticipated cash
flows from a given system.
The subject system is unique among most utility systems, in that it is not rate regulated: i.e., an
independent third party does not control the rate making structure. Further, the contributed
portions of the subject system do not generate any current revenue. Both factors must be
considered in arriving at the overall, "as is" value of the entire system. Also required in this
regard would be development of costs to rehabilitate and /or replace the existing system,
based on the foregoing projections.
The results of the three approaches to valuation are finally reconciled to conclude one system
valuation number. Then valuation allocation is made to the identified interests within the
system.
General Analysis: This includes a demographic analysis of the Okeechobee area as a
whole, identification of the specific market which the system would serve, existing and
projected connections, which involves making growth and other projections, etc., as well as
development of a time line of costs of ongoing projects.
In .essence, the foregoing data are derived from indepth study both of the Okeechobee
market and of related utility markets, as well as from reliance on information provided by
experts in the field of utility valuation. A partial, preliminary bibliographic chart is presented
following this section.
Projections are also based on establishment of existing capacity, and volumetric usage, which
are derived from existing reports relative to the system's usage, as shown in the bibliographic
listing. A full accounting of sources, etc., is provided in the appraisal report. The following is a
preliminary indication of the sources considered in examining the Okeechobee utility system.

PROFILE OF DEIGHAN APPRAISAL ASSOCIATES, INC.
The firm was formed in 1971 by Daniel K. Deighan, MAI. The firm has 28 employees and has
been in business in Martin, St. Lucie and Indian River Counties since 1981 and specializes in
court- related appraisal work and litigation support.
Daniel K. Deighan, MAI has 25.years of experience as an appraiser, with successful testimony as
an expert witness in numerous counties throughout Florida, as well as the New York State Court

Jack Crahan, MAI, has 18 years experience in appraisal work, 15 of which have been with DAA.

instrumental in saving the state the loss of more than two million additional dollars...Very few
offices could turn out the quality product that Mr. Deighan's office tumed out in the limited
time allowed.. exemplary of the type of appraisal witness and shop that the D.O.T. needs to
